For avoidance of doubt, no Contribution Recoupment Fee or Termination Fee shall be payable in the event of a termination for cause by the City; solely the amounts described in Section 5(c)(ii), (iii) or (iv) shall be payable.
Upon the termination of this Agreement pursuant to Section 8(e) (for the occurrence of an Adviser Change of Control Event), the Adviser shall pay to the Administrator, within thirty (30) days of the consummation of the transaction resulting in an Adviser Change of Control Event, an amount equal to the lesser of (i) the Administrator Recoupment Fee and (ii) $4 million.
