Any failure or delay by the Swap Counterparty to serve a Redemption Event Notice shall not constitute a waiver of the Swap Counterparty’s right to serve such a notice in respect of the relevant event or circumstance or in respect of any other event or circumstance.
The Redemption Event Notice shall state (i) the Redemption Date; (ii) the number of shares of Series A Preferred Stock to be redeemed; (iii) the applicable Redemption Price; (iv) the place or places where any certificates issued for Series A Preferred Stock were to be surrendered for payment at the applicable Redemption Price; and (v) any other information required by law or the applicable exchange upon which the Series A Preferred Stock may be listed or permitted for trading.
The avoidance of doubt, holders of shares of Series A Preferred Stock shall have the right to convert all or a portion of the Series A Preferred Stock at any time following the applicable Redemption Event Notice prior to the applicable Redemption Date in accordance with the provisions of this Agreement at the address shown on the share transfer books of the Corporation.
A Mandatory Redemption Event Notice shall be mailed to the address of each such Holder as such address appears on the Registrar’s books.
Any failure or delay by the Issuer to give a Physical Delivery Notice to any of the intended recipients thereof shall not affect the effectiveness of any Redemption Event Notice or other provisions of this Paragraph 26(B).
Any failure or delay by the Issuer to give such a Cash Settlement Notice to any of the intended recipients thereof shall not affect the effectiveness of any Redemption Event Notice or other provisions of this Paragraph 26(C).
For the avoidance of doubt, the right of the Swap Counterparty to deliver a Redemption Event Notice and for the Issuer to redeem the Notes on the Early Redemption Date shall apply notwithstanding that on any day after the Note Redemption Event or the Exercise Date the market value of the Charged Assets or Pari Passu Debt increases and/or the Early Termination Costs decrease.
Upon delivery of a Mandatory Redemption Event Notice, Holders shall thereafter be entitled to receive the Redemption Price with respect to their respective Debentures on the Mandatory Redemption Date.
Notwithstanding anything herein to the contrary, the holder shall have the right to withdraw any Redemption Event Notice in whole or in a portion thereof so long as the remaining Designated Number of Redemption Event Shares, if any, is not less than one whole share at any time prior to the close of business on the Business Day next preceding the Redemption Event Date by written notice of withdrawal given to the Corporation.
Any Series A-X Preferred Stock in respect of which a Redemption Event Notice has been given by the holder thereof may not be converted into shares of Common Stock pursuant to Section 6(a) on or after the date of the delivery of such Redemption Event Notice unless such Redemption Event Notice has first been validly withdrawn.
