Redemption Event Notice definition

Redemption Event Notice means a notice delivered by the Swap Counterparty (copying the Determination Agent) to the Issuer specifying the occurrence of a Note Redemption Event and the applicable Early Redemption Date.
Redemption Event Notice means the notice, substantially in the form set out in Schedule 13, to be delivered to the Noteholders.
Redemption Event Notice has the meaning set forth in Section 5(d)(iii).

Examples of Redemption Event Notice in a sentence

  • If a Note Redemption Event occurs on or prior to the Maturity Date (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Redemption Event Notice to the Issuer, all the Notes outstanding (and not some only) shall be redeemed by payment in respect of each Note of the Early Cash Redemption Amount in accordance with the following provisions, and accordingly, Condition 7(b) (Mandatory Redemption) shall not apply.

  • Failure by the Series Calculation Agent to deliver an Early Redemption Event Notice shall not preclude the Issuer from notifying the Series Calculation Agent of the occurrence of one or more than one subsequent event(s) described in Condition 7(c) or 7(d).

  • For the avoidance of doubt, the right of the Swap Counterparty to deliver a Redemption Event Notice and for the Issuer to redeem the Notes on the Early Redemption Date shall apply notwithstanding that on any day after the Note Redemption Event or the Exercise Date the market value of the Charged Assets or Pari Passu Debt increases and/or the Early Termination Costs decrease.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Redemption Rescission Event means the occurrence of (a) any general suspension of trading in, or limitation on prices for, securities on the principal national securities exchange on which shares of Common Stock or Marketable Securities are registered and listed for trading (or, if shares of Common Stock or Marketable Securities are not registered and listed for trading on any such exchange, in the over-the-counter market) for more than six-and-one-half (6-1/2) consecutive trading hours, (b) any decline in either the Dow Xxxxx Industrial Average or the S&P 500 Index (or any successor index published by Dow Xxxxx & Company, Inc. or S&P) by either (i) an amount in excess of 10%, measured from the close of business on any Trading Day to the close of business on the next succeeding Trading Day during the period commencing on the Trading Day preceding the day notice of any redemption of Securities is given (or, if such notice is given after the close of business on a Trading Day, commencing on such Trading Day) and ending at the time and date fixed for redemption in such notice or (ii) an amount in excess of 15% (or if the time and date fixed for redemption is more than 15 days following the date on which such notice of redemption is given, 20%), measured from the close of business on the Trading Day preceding the day notice of such redemption is given (or, if such notice is given after the close of business on a Trading Day, from such Trading Day) to the close of business on any Trading Day at or prior to the time and date fixed for redemption, (c) a declaration of a banking moratorium or any suspension of payments in respect of banks by Federal or state authorities in the United States or (d) the occurrence of an act of terrorism or commencement of a war or armed hostilities or other national or international calamity directly or indirectly involving the United States which in the reasonable judgment of the Company could have a material adverse effect on the market for the Common Stock or Marketable Securities.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Optional Redemption Notice shall have the meaning set forth in Section 6(a).

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Mandatory Purchase Event means, (i) in connection with the termination of the VRDP Shares Purchase Agreement due to its expiration as of a Scheduled Termination Date, by the fifteenth day prior to any such Scheduled Termination Date, (a) the Liquidity Provider shall not have agreed to an extension or further extension of the Scheduled Termination Date to a date not earlier than 364 days from the Scheduled Termination Date of the VRDP Shares Purchase Agreement then in effect, and (b) the Corporation shall not have obtained and delivered to the Tender and Paying Agent an Alternate VRDP Shares Purchase Agreement with a termination date not earlier than 364 days from the Scheduled Termination Date of the VRDP Shares Purchase Agreement, or (ii) in connection with the termination of the VRDP Shares Purchase Agreement due to a Liquidity Provider Ratings Event or Related Party Termination Event, by the fifteenth day prior to the Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be, the Corporation shall not have obtained and delivered to the Tender and Paying Agent an Alternate VRDP Shares Purchase Agreement with a termination date not earlier than 364 days from the Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be, of the VRDP Shares Purchase Agreement. The Mandatory Purchase Event shall be deemed to occur on such fifteenth day prior to any Scheduled Termination Date, Liquidity Provider Ratings Event Termination Date or Related Party Termination Date, as the case may be.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).
