Reference CDS definition
Reference CDS means a notional credit default swap deemed to be entered into in the form set out in Annex 1 hereto between the Issuer and a notional financial institution entered into pursuant to an ISDA Master Agreement, as published by the International Swaps and Derivatives Association, Inc. between the Issuer and the notional counterparty governed by English law and with USD as the Termination Currency and in respect of which, such Reference CDS is the sole transaction under such ISDA Master Agreement (the “Notional Master Agreement”).

More Definitions of Reference CDS
Reference CDS means a hypothetical credit default swap in respect of the Reference Entity (as defined in the Charged Agreement) having the following terms: (a) the protection seller shall be the Swap Counterparty; (b) the floating rate payer calculation amount shall be an amount equal to the Reference Amount; (c) the effective date shall be the Determination Date; and (d) the scheduled termination date shall be the date falling on the fifth anniversary of the Determination Date, and otherwise being documented on standard physically settled inter-bank terms, as determined by the Calculation Agent in its sole and absolute discretion, where “Determination Date” means the date on which the price of the Reference CDS is determined by the Calculation Agent pursuant to the provisions hereof.
Reference CDS means a hypothetical credit default swap transaction linked to a Reference Entity. A Reference CDS is assumed to be documented on the basis of:
