Reference Security definition

Reference Security means the security specified as such in the relevant Final Terms. If a Reference Security is no longer outstanding, a Similar Security will be chosen by the Quotation Agent at 11:00 a.m. (CET) on the third Business Day preceding the Make-whole Redemption Date, quoted in writing by the Quotation Agent to the Issuer and published in accordance with Condition 12 (Notices).

Examples of Reference Security in a sentence

  • The Effective Date of the new Transaction in respect of such additional Reference Security shall be the Addition Date in respect thereto.

  • On the Initial Reference Security Purchase Date, the Issuer will purchase the Reference Securities.

  • On the Initial Reference Security Purchase Date, the Issuer will use up to 100 per cent of the net issue proceeds of the Notes to purchase the Reference Securities.

  • On the relevant Cash Settlement Date (as defined in the Credit Default Swap Confirmation), the Par Amount of each Reference Security in the Reference Security Annex shall be amended to reflect the removal of the specified amount of such Reference Securities.

  • Prepayment Ratio means, with respect to each Prepayment of a Prepaid Reference Security, a ratio equal to a fraction the numerator of which is the relevant Prepayment Par Amount of such Prepaid Reference Security and the denominator of which is the Par Amount of such Prepaid Reference Security immediately prior to the relevant Prepayment.


More Definitions of Reference Security

Reference Security means (a) if the CA Selected Security is specified in the applicable Final Terms, the relevant CA Selected Security; or (b) if CA Selected Security is not specified in the applicable Final Terms, the Reference Security specified in the applicable Final Terms, or, if such Reference Security is no longer outstanding on the relevant Make-Whole Optional Redemption Date, the Comparable Bond.
Reference Security means the Relevant Government Security which is due to be repaid on a date closest to the final date for redemption of the Preference Share to be redeemed, or, if the Preference Share to be redeemed has no final date for redemption which is due to be repaid on a date closest to thirty years from the Reference Date; and
Reference Security means the security specified in the relevant Final Terms, it being specified that if the Reference Security is no longer outstanding, a Similar Security will be chosen by the Calculation Agent at 11.00 a.m. (CET) on the third business day in London preceding the Make-Whole Redemption Date, quoted in writing by the Calculation Agent to the Issuer and notified in accordance with Condition 14.

Reference Security means, in the case of a debt obligation, a particular debt obligation which is publicly traded, which is non-callable prior to the termination of the Special Dividend Period with respect to which such Reference Security is relevant and the outstanding aggregate principal amount of which at the time of the Notice of Special Dividend Period exceeds $100 million or, in the case of a preferred stock, a preferred stock issue which is publicly traded, which is non-redeemable prior to the termination of the Special Dividend Period with respect to which such Reference Security is relevant and the outstanding liquidation value of which at the time of the Notice of Special Dividend Period exceeds $50 million.

If the Reference Security is no longer outstanding, a Similar Security will be chosen by the Calculation Agent on the Calculation Date at 2.00 p.m. (CET), quoted in writing by the Calculation Agent to the relevant Issuer and published in accordance with Condition 15;
Reference Security means a United States Treasury security which has a maturity comparable to the remaining maturity of the Securities at the applicable Redemption Date which would be used in accordance with customary financial practice to price new issues of corporate debt securities with a maturity comparable to the remaining maturity of the Securities at the applicable Redemption Date, all as determined in the sole discretion of the Quotation Agent.
