Refund Price means 100% of the outstanding Principal Balance of a Receivable (without giving effect to any reduction in the Principal Balance thereof as a result of such Receivable becoming a Defaulted Receivable or an Ineligible Receivable) on the date of refund plus accrued interest, if any, thereon at the related APR, to such date.

  • Reference Price means the Reference Price of the Underlying as specified in § 1 of the Product and Underlying Data.

If the consideration to be offered, paid or received pursuant to either of the foregoing clauses (i) or (ii) shall be other than in cash, the value of such consideration shall be determined in good faith by an independent nationally recognized investment banking firm selected by Holder and reasonably acceptable to Issuer, which determination shall be conclusive for all purposes of this Agreement.
