  • Notes offered and sold in reliance on Regulation S shall be issued initially in the form of the Reg S Temporary Global Note, which shall be deposited on behalf of the Holders with the Trustee, at its Corporate Trust office, as custodian for the Depositary, and registered in the name of the Depositary or the nominee of the Depositary for the accounts of designated agents holding of behalf of Euroclear or Clearstream, duly executed by the Company and authenticated by the Trustee as hereinafter provided.

  • Following the termination of the Distribution Compliance Period, beneficial interests in the Reg S Temporary Global Note shall be exchanged for beneficial interests in the Reg S Permanent Global Notes pursuant to the Applicable Procedures.

  • Beneficial interests in any Restricted Global Note may be transferred to Persons who take delivery thereof in the form of a beneficial interest in the same Restricted Global Note in accordance with the transfer restrictions set forth in the Private Placement Legend; provided, however, that prior to the expiration of the Distribution Compliance Period, transfers of beneficial interests in the Reg S Temporary Global Note may not be made to a U.S. Person or for the account or benefit of a U.S. Person.
