Registration Effective Period definition

Registration Effective Period has the meaning set forth in Section 10.3(a) of this Agreement.
Registration Effective Period means a period beginning the date the Registration Statement becomes effective and ending on the earlier of: (i) the date when Holders become eligible to sell the Registrable Securities pursuant to Rule 144; or (ii) the date the distribution described in the Registration Statement has been completed.
Registration Effective Period has the meaning set forth in Section 5.15(c).

Examples of Registration Effective Period in a sentence

  • The Registration Effective Period shall be extended by a period of time equal to the duration of any period during which the Suspension Right is imposed.

  • Notwithstanding the foregoing, Acquiror will ensure that in any event the Holders shall have at least twenty (20) trading days (prorated for partial quarters) available to sell Registrable Shares during each calendar quarter (or portion thereof) during the Registration Effective Period.

  • In no event may Parent cause the cessation of the sale of shares under the Registration Statement pursuant to Section 2.4(d) for more than an aggregate of 45 days during the Registration Effective Period.

  • Further, in the event of any such suspension, the number of days in which open market offers and sales shall be suspended shall be added to the Registration Effective Period.

  • Following the date the Registration Statement is first declared effective (the "Registration Effective Date"), the Holders will be permitted (subject in all cases to the provisions of paragraphs (c) and (d) of this Section 6) to offer and sell Registrable Shares during the Registration Effective Period in the manner described in the Registration Statement provided that the Registration Statement remains effective and has not been suspended.

  • Subject to the terms of this Agreement, Parent shall use commercially reasonable efforts to cause the Registration Statement to remain effective until the earlier of (i) the date on which all Registerable Shares covered by the Registration Statement have been sold to the public pursuant to the Registration Statement or (ii) one year after the Closing Date, PROVIDED, HOWEVER, that the reporting requirements of Rule 144(c) under the Securities Act have been satisfied (the "Registration Effective Period").


More Definitions of Registration Effective Period

Registration Effective Period means the Registration Effective Period as defined in Section 2.1(b)(i).

Related to Registration Effective Period

  • Registration Period shall have the meaning assigned to such term in Section 3(a).

  • PAL effective period means the period beginning with the PAL effective date and ending 10 years later.

  • Registration Date means the effective date of the first registration statement that is filed by the Company and declared effective pursuant to Section 12(g) of the Exchange Act, with respect to any class of the Company’s securities.

  • Effective Period means the period beginning on the Change of Control Date and ending 24 months after the date of the related Change of Control.

  • Registration Deadline means the day falling 90 Registration Business Days after the Issue Date;

  • Registration Event means the occurrence of any of the following events:

  • Registration Limitation shall have the meaning set forth in Section 2.01(c)(ii).

  • Initial Effectiveness Deadline means the date which is (i) in the event that the Initial Registration Statement is not subject to a full review by the SEC, sixty (60) calendar days after the Closing Date or (ii) in the event that the Initial Registration Statement is subject to a full review by the SEC, ninety (90) calendar days after the Closing Date.

  • Agreement Effective Period means, with respect to a Party, the period from the Agreement Effective Date to the Termination Date applicable to that Party.

  • Registration Notice has the meaning specified in Section 2.1(a).

  • Excluded Registration means (i) a registration relating to the sale of securities to employees of the Company or a subsidiary pursuant to a stock option, stock purchase, or similar plan; (ii) a registration relating to an SEC Rule 145 transaction; (iii) a registration on any form that does not include substantially the same information as would be required to be included in a registration statement covering the sale of the Registrable Securities; or (iv) a registration in which the only Common Stock being registered is Common Stock issuable upon conversion of debt securities that are also being registered.

  • Shelf Filing Event shall have the meaning set forth in Section 2(c) hereof.

  • Founder Shares Lock-up Period means, with respect to the Founder Shares, the period ending on the earlier of (A) one year after the completion of the Company’s initial Business Combination and (B) subsequent to the Business Combination, (x) if the closing price of the Common Stock equals or exceeds $12.00 per share (as adjusted for stock splits, stock dividends, reorganizations, recapitalizations and the like) for any 20 trading days within any 30-trading day period commencing at least 150 days after the Company’s initial Business Combination or (y) the date on which the Company completes a liquidation, merger, capital stock exchange, reorganization or other similar transaction that results in all of the Company’s stockholders having the right to exchange their shares of Common Stock for cash, securities or other property.

  • Effective Termination Date has the meaning set forth in Section 10(b) hereof.

  • Shelf Effectiveness Deadline As defined in Section 4(a) hereof.

  • Initial Effective Date means the date that the Initial Registration Statement has been declared effective by the SEC.

  • Resale Period shall have the meaning assigned thereto in Section 2(a) hereof.

  • OBFR Index Cessation Effective Date means, in relation to an OBFR Index Cessation Event, the date on which the Federal Reserve Bank of New York (or any successor administrator of the daily Overnight Bank Funding Rate) ceases to publish the daily Overnight Bank Funding Rate or the date as of which the daily Overnight Bank Funding Rate may no longer be used;

  • Exchange Offer Registration Period means the 180-day period following the consummation of the Registered Exchange Offer, exclusive of any period during which any stop order shall be in effect suspending the effectiveness of the Exchange Offer Registration Statement.

  • SOFR Index Cessation Effective Date means, in relation to a SOFR Index Cessation Event, the date on which the Federal Reserve Bank of New York (or any successor administrator of the daily Secured Overnight Financing Rate) ceases to publish the daily Secured Overnight Financing Rate, or the date as of which the daily Secured Overnight Financing Rate may no longer be used;

  • Additional Effectiveness Deadline means the date which is the earlier of (x) (i) in the event that the Additional Registration Statement is not subject to a full review by the SEC, thirty (30) calendar days after the earlier of the Additional Filing Date and the Additional Filing Deadline or (ii) in the event that the Additional Registration Statement is subject to a full review by the SEC, fifty (50) calendar days after the earlier of the Additional Filing Date and the Additional Filing Deadline and (y) the fifth (5th) Business Day after the date the Company is notified (orally or in writing, whichever is earlier) by the SEC that such Additional Registration Statement will not be reviewed or will not be subject to further review; provided, however, that if the Additional Effectiveness Deadline falls on a Saturday, Sunday or other day that the SEC is closed for business, the Additional Effectiveness Deadline shall be extended to the next Business Day on which the SEC is open for business.

  • Registration Default Period shall have the meaning assigned thereto in Section 2(c).
