Examples of Registration Suspension Period in a sentence
During any Scheduled Registration Suspension Period, the Manager shall suspend, and shall cause the Trust to suspend, the disposition of any Registrable Securities pursuant to the Registration Statement, the Prospectus or any supplement thereto until termination of such Scheduled Registration Suspension Period.
For the avoidance of doubt, during any Scheduled Registration Suspension Period, the Manager shall be permitted to dispose, or cause the Trust to dispose, of Registrable Securities pursuant to Rule 144, if then available.
Once any registration statement filed pursuant to this Section 2 or in which Registrable Securities are included pursuant to Section 3 has been declared effective, any period during which the Company fails to keep such registration statement effective and usable for resale of Registrable Securities for the period required by Section 4(b) shall be referred to as a "Registration Suspension Period".
A Registration Suspension Period shall commence on and include the date that the Company gives written notice to Buyer of its determination that such registration statement is no longer effective or usable for resale of Registrable Securities (the "Suspension Notice") to and including the date when the Company notifies Buyer that the use of the prospectus included in such registration statement may be resumed for the disposition of Registrable Securities.
Any Registration Suspension Period shall continue until the date when the Company notifies Purchasers that the use of the prospectus included in a registration statement filed pursuant to this Section 2 may be resumed for the disposition of Registrable Securities.
The Holder acknowledges and agrees that during the Registration Suspension Period it shall not resell the Shares issuable upon the exercise of the Warrants.
If so directed by the Company, the Manager shall deliver to the Company all physical copies of the Prospectus and any supplements thereto in its possession at the time of any Scheduled Registration Suspension Period or receipt by the Manager of any Suspension Event Notice or Suspension Notice.
Once any Shelf Registration has been declared effective, any period during which the Company causes Purchaser to not sell under the Shelf Registration or fails to keep such Shelf Registration effective and usable for resale of Registrable Securities for the period required hereunder shall be referred to as a "Registration Suspension Period".
If the Company does not respond to a Purchaser's notice of its intent to sell Registrable Securities within two Business Days of the Company's receipt of that notice, the Company will be deemed to have confirmed that the Shelf Registration is currently in effect and no Registration Suspension Period exists.
The Effectiveness Period will be extended by the same number of days that comprise a Registration Suspension Period.
