REIT Guaranty definition

REIT Guaranty means the credit guaranty executed by MAC in favor of DBTCA (or a successor Administrative Agent), in its capacity as Administrative Agent for the benefit of the Lenders, as the same may be Modified from time to time.
REIT Guaranty a guaranty in form and substance substantially similar to the guarantee contained in Section 2 of the Guarantee and Collateral Agreement, to be entered into by the REIT Entity pursuant to which the REIT Entity shall guarantee the Obligations; provided that recourse under such guaranty shall only be available upon the occurrence of an Event of Default pursuant to Section 8(l) hereof.
REIT Guaranty means the Amended and Restated REIT Guaranty dated as of April 28, 1998 executed by the REIT in favor of Agent and the Lenders. A copy of the REIT Guaranty is attached hereto as Exhibit B.

Examples of REIT Guaranty in a sentence

  • As credit support for the Obligations, on or before the Closing Date, MAC shall execute and deliver to the Administrative Agent, for the benefit of the Lenders, the REIT Guaranty.

  • Nothing contained herein or in any Down REIT Guaranty shall be deemed for the benefit of any holder of Public Debt, or any trustee for such holder; nor shall anything contained herein or therein be construed to impose on the Administrative Agent or any Bank any fiduciary duties, obligations or responsibilities to the holders of any Public Debt or their trustees (including, but not limited to, any duty to pursue any Down REIT Guarantor for payment under its Down REIT Guaranty).

More Definitions of REIT Guaranty

REIT Guaranty means that certain Unconditional Guaranty dated as of the Closing Date, made by MAC in favor of the Administrative Agent, as the same may be Modified from time to time.
REIT Guaranty means the credit guaranty executed by MAC in favor of DBTCA (or a successor Collateral Agent), in its capacity as Collateral Agent for the benefit of the Benefited Creditors, as the same may be Modified from time to time.
REIT Guaranty means the guaranty in the form of Exhibit G attached hereto and made a part hereof executed and delivered by the REIT to the Administrative Agent.
REIT Guaranty means the REIT Guaranty, dated as of May, 2004, executed by the REIT and MHC Trust in favor of Lender, as joined by T1000 Trust pursuant to the Joinder.

REIT Guaranty a guaranty in form and substance substantially similar to the guarantee contained in Section 2 of the Guarantee and Collateral Agreement, to be entered into by the REIT Entity pursuant to which the REIT Entity shall guarantee the Obligations; provided that, upon delivery by the Borrower of a structure chart of the REIT Entity and its Subsidiaries after giving effect to the Colony Capital Internalization, the Administrative Agent and the Borrower may, with the consent of the Required Lenders, amend the REIT Guaranty to provide that recourse under such guaranty shall only be available under limited circumstances which are currently anticipated to consist of (i) upon the occurrence of an Event of Default pursuant to Section 8(l) hereof and (ii) upon the commencement by the REIT Entity of any case, proceeding or other action (A) under any existing or future law of any jurisdiction, domestic or foreign, relating to bankruptcy, insolvency, reorganization or relief of debtors, seeking to have an order for relief entered with respect to it, or seeking to adjudicate it a bankrupt or insolvent, or seeking reorganization, arrangement, adjustment, winding up, liquidation, dissolution, composition or other relief with respect to it or its debts, or (B) seeking appointment of a receiver, trustee, custodian, conservator or other similar official for it or for all or any substantial part of its assets.
