Released Contractor definition

Released Contractor means a contractor (other than Expro) that has entered into a contract with Chevron that includes, or is supplemented by a separate agreement that includes, release, defense and indemnity provisions that are substantially similar to those set out in Section 12 of the Chevron-Expro contract. Rec. Doc. 36-2 at 35.
Released Contractor means a contractor or subcontractor of any tier (other than Contractor or its subcontractors) that has entered into a contract with Company (either before or after the Effective Date) that includes, or is supplemented by, a separate agreement that includes, release, defense and indemnity provisions that are substantially similar to those set out in this Section 15 or are in any other form or wording, so long as the substantive nature of the provisions is similar to this Section 15. If a contractor or subcontractor of any tier of Company does not qualify as a Released Contractor, such contractor or subcontractor of Company shall be included as a member of the Company Group. In the event that Company engages the services of another contractor or subcontractor of any tier for work to be performed on the Drilling Unit and such entity presents itself at the Drilling Unit and is unable to verify its status as a Released Contractor, Contractor may deny such contractor/subcontractor access to the Drilling Unit without recourse. If Company then directs Contractor to permit such contractor/subcontractor to board the Drilling Unit, any such contractor/subcontractor that does not qualify as a Released Contractor shall be included as a member of Company Group. Any release, indemnity, defense or insurance protection owed to Contractor or any member of Contractor Group by a Released Contractor shall be primary to any indemnity obligation owed by Company, and any liability of Company shall be secondary.
Released Contractor has the meaning given in Section 15.1.

Examples of Released Contractor in a sentence

  • Contractor shall include a provision substantially similar to this Section 15 in its subcontracts with Subcontractors whereby Subcontractors assume similar release, defense and indemnity obligations in favor of each member of a Released Contractor Group.

  • In the event that Company engages the services of another contractor or subcontractor of any tier for work to be performed on the Drilling Unit and such entity presents itself at the Drilling Unit and is unable to verify its status as a Released Contractor, Contractor may deny such contractor/subcontractor access to the Drilling Unit without recourse.

  • If a contractor or subcontractor of any tier of Company does not qualify as a Released Contractor, such contractor or subcontractor of Company shall be included as a member of the Company Group.

  • Contractor agrees that all insurance benefits owed to Indemnitees under Section 16 shall also extend each member of a Released Contractor Group to the extent such Released Contractor has extended similar benefits to Contractor Group.

  • New Mexico, on its own behalf and on behalf of the Releasing New Mexico Parties, further agrees that the Released Contractor Parties are entitled to the immediate dismissal with prejudice or, in the event that relief is not granted, preliminary and permanent injunctive relief prohibiting the prosecution of any such Action as well as any resulting monetary damages, including but not limited to attorneys' fees and costs related to defending any such Action.

  • Any release, indemnity, defense or insurance protection owed to Contractor or any member of Contractor Group by a Released Contractor shall be primary to any indemnity obligation owed by Company, and any liability of Company shall be secondary.

  • New Mexico, on behalf of itself and the Releasing New Mexico Parties, agrees and hereby covenants that it will not commence any Action against the Released Contractor Defendant Parties relating to the Matters.

  • Each Party represents and warrants that this Agreement covers all claims and damages brought or which could have been brought between the Releasing New Mexico Parties and Released Contractor Defendants in the Litigation.
