Examples of Relocating Authority in a sentence
If Grantor receives reimbursement from a Relocating Authority that exceeds Grantor’s costs of the relocation, Grantor shall pay to Grantee its pro rata share of the reimbursement based on the number of Grantee Fibers and the Total Fiber Count in the affected portion of the Grantor System.
Grantee shall reimburse Grantor for its proportionate share of the Costs (including Acceptance Testing and including amounts paid to a Relocating Authority to avoid relocation) related to such relocation (to the extent Grantor has not been reimbursed by the Relocating Authority) allocated to Grantee pro rata based on the number of Grantee Fibers and the total fiber count in the affected Segments of the Grantor System.
Unless such relocation is caused by Grantor's default or breach of the term and provisions of a Required Right, Grantee shall reimburse Grantor for its proportionate share of the Costs (including Acceptance Testing) of such relocation (to the extent Grantor has not been reimbursed by the Relocating Authority) based on the number of Grantee Fibers and the total fiber count in such affected Segment.
Grantee shall reimburse Grantor for Grantor's Costs (including but not limited to Acceptance Testing and including amounts paid to a Relocating Authority to avoid relocation) to the extent that such relocation is the result of a failure by Grantee to observe and perform its obligations under this Agreement.
If, after the Effective Date, Grantor is required by the provider of any Underlying Right or Governmental Authority (“Relocating Authority”) to relocate the Buyer Fibers or any portion thereof, Grantor may either (1) proceed with such required relocation using its best efforts to minimize all negative impacts to Buyer or (2) pay such amounts to the Relocating Authority as are necessary to avoid the need for such relocation.
Grantee shall reimburse Grantor for its proportionate share of the Costs (including Acceptance Testing) of such relocation (to the extent Grantor has not been reimbursed by the Relocating Authority and only if the total unreimbursed Costs associated with such relocation exceed $[***]) allocated to Grantee pro rata based on the number of Grantee Fibers and the total fiber count in the affected Segments of the Grantor System.
