Remaining Disputes definition

Remaining Disputes is defined in Section 2.7(b).
Remaining Disputes has the meaning set forth in Section 2.7(c).
Remaining Disputes shall have the meaning set forth in Section 1.3(b).

Examples of Remaining Disputes in a sentence

  • The Parties shall request that the Accounting Firm make a decision with respect to all Remaining Disputes within forty-five (45) days after the submission of the Remaining Disputes to the Accounting Firm, as provided above, and in any event as promptly as practicable.

  • The appointed accounting firm shall be the “Accounting Firm”, and within five (5) Business Days after appointment of the Accounting Firm the Parties shall deliver to the Accounting Firm their written position with respect to such Remaining Disputes.

  • The Accounting Firm, once appointed, shall have no ex parte communications with the Parties concerning the Remaining Disputes.

  • The Accounting Firm shall determine, based solely on the submissions by Seller and Buyer, and not by independent review, only the Remaining Disputes and shall choose either Seller’s position or Buyer’s position with respect to each matter addressed in a Dispute Notice, in each case, in accordance with this Agreement.

  • At a frequency of at least once every five years, the permittee shall conduct a stack test from at least one of the fabric filters DC2B (Blending and Forming line), DC3C (Finish Sawing), DC4C (Unresinated Dust Handling System) or SA2 (Six Head Sander) to demonstrate compliance with the applicable hourly VOC emission limit contained in this permit.

  • If, at the conclusion of the Resolution Period, any items set forth in the Dispute Notice remain in dispute (the “Remaining Disputes”), then each of Buyer and Seller shall submit all such Remaining Disputes to the Houston, Texas office of KPMG US LLP or such other independent nationally recognized accounting firm the Parties may mutually select (the “Accounting Firm”).

  • If, however, within 20 days following the delivery of a Dispute Notice, Regency HIG and the Investors have not fully resolved the Dispute Notice (each a “Remaining Dispute”), then either Regency HIG or any Investor may initiate binding arbitration of the Remaining Disputes by giving written notice of an intent to arbitrate to the other Parties.

  • The Accounting Referee shall determine only the Remaining Disputes based on the materials submitted to the Accounting Referee as described above and the terms of this Agreement, and shall choose either Sellers’ position or Purchaser’s position with respect to each matter addressed in a Dispute Notice, in each case, in accordance with this Agreement.

  • If any party fails to timely deliver its Position Statement to the Independent Accountants, the Independent Accountants shall resolve the Remaining Disputes solely upon the basis of the information otherwise provided to them.

  • The appointed accounting firm shall be the “Accounting Referee”, and within ten (10) Business Days after appointment of the Accounting Referee, the Parties shall deliver to the Accounting Referee their written position with respect to such Remaining Disputes.

Related to Remaining Disputes

  • Billing Dispute means the dispute of an invoice prepared by an Operator to the Other Operator which is made in good faith.

  • Agreement Disputes shall have the meaning set forth in Section 10.1.

  • Billing Dispute Notice means a formal, written notice submitted to HUGE by the Customer in terms of this Procedure.

  • Dispute means any dispute, controversy, claim or difference of whatever nature arising out of, relating to, or having any connection with this Agreement, including a dispute regarding the existence, formation, validity, interpretation, performance or termination of this Agreement or the consequences of its nullity and also including any dispute relating to any non-contractual rights or obligations arising out of, relating to, or having any connection with this Agreement.

  • Disagreement means a difference of opinion between personnel of a reporting issuer responsible for finalizing the reporting issuer’s financial statements and the personnel of a predecessor auditor responsible for authorizing the issuance of audit reports on the reporting issuer’s financial statements or authorizing the communication of the results of the auditor’s review of the reporting issuer’s interim financial report, if the difference of opinion

  • Arbitrable Dispute means any dispute arising under or in connection with this Agreement.

  • Tax Dispute has the meaning set forth in Section 5.06.

  • Disputes means any dispute, claim or controversy arising out of, connected with or relating to this Agreement or any other Loan Document, between or among parties hereto and to the other Loan Documents.

  • Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.

  • Labor dispute as used here, means a strike, lockout, or other labor dispute between the Employer and its Employees, during which time the Employee is not paid by the Employer.

  • trade dispute means any dispute or difference between employers and workmen, or between workmen and workmen, connected with the employment or non-employment, or the terms of employment, or with the conditions of labour, of any person;

  • Arbitration organization means an association, agency, board, commission, or other entity that is neutral and initiates, sponsors, or administers an arbitration proceeding or is involved in the appointment of an arbitrator.

  • Unresolved Claims has the meaning set forth in Section 7.6(c).

  • industrial dispute means any dispute or difference between employers and employers, or between employers and workmen, or between workmen and workmen, which is connected with the employment or non-employment or the terms of employment or with the conditions of labour, of any person;

  • Arbitration Award shall have the meaning given such term in Section 22.5.

  • Expedited Dispute Timetable means the accelerated timetable for the resolution of disputes as set out in paragraph 2.6;

  • Resolved With respect to a Repurchase Request, means that (i) the related Material Defect has been cured, (ii) the related Mortgage Loan has been repurchased in accordance with the related Mortgage Loan Purchase Agreement, (iii) a mortgage loan has been substituted for the related Mortgage Loan in accordance with the related Mortgage Loan Purchase Agreement, (iv) the applicable Mortgage Loan Seller has made a Loss of Value Payment, (v) a contractually binding agreement has been entered into between the Enforcing Servicer, on behalf of the Trust, and the related Mortgage Loan Seller that settles the related Mortgage Loan Seller’s obligations under the related Mortgage Loan Purchase Agreement, or (vi) the related Mortgage Loan is no longer property of the Trust as a result of a sale or other disposition in accordance with this Agreement.

  • Unresolved Claim means a Claim, which at the relevant time, in whole or in part: (a) has not been Finally Determined to be a Proven Claim in accordance with the Amended Claims Procedure Order and this Plan; (b) is validly disputed in accordance with the Amended Claims Procedure Order; and/or (c) remains subject to review and for which a Notice of Allowance or Notice of Revision or Disallowance (each as defined in the Amended Claims Procedure Order) has not been issued to the Creditor in accordance with the Amended Claims Procedure Order as at the date of this Plan, in each of the foregoing clauses, including both as to proof and/or quantum;

  • Dispute Period shall have the meaning specified in Section 9.3(a).

  • Lawyer-guardian ad litem means an attorney appointed under section 17c of this chapter. A lawyer-guardian ad litem represents the child, and has the powers and duties, as set forth in section 17d of this chapter. The provisions of section 17d of this chapter also apply to a lawyer-guardian ad litem appointed under each of the following:

  • Notice of Dispute has the meaning provided in Section 2.1(f)(iii) of this Commercial Shared-Loss Agreement.

  • Disputed Amounts as used in Section 11.9 below, means the amount that the Disputing Party contends is incorrectly billed.

  • Arbitration Panel means a panel established under Article 14.5 (Establishment of the Arbitration Panel);

  • Disputed Amount means an amount which Customer disputes. A Disputed Amount may relate to the whole or part of an invoice(s).

  • Arbitration Notice has the meaning set forth in Section 9.13.

  • Arbitration Tribunal means an organ composed of an odd number of persons known as arbitrators, who decide on the solution of a conflict in which the parties have expressly waived recourse to the ordinary civil courts
