The interest rate for any Commercial Paper Term Period relating to a Remarketed Note will be determined not later than 11:00 a.m., New York City time, on the Interest Rate Adjustment Date for such Notes (subject to Section 206) which is the first day of each Interest Rate Period for such Notes; provided, however, that if such day is not a Business Day, the Interest Rate Adjustment Date for any Note in such Commercial Paper Term Mode shall be the next succeeding day which is a Business Day.
Promptly after payment to DTC of the principal and interest, if any, due on such Interest Rate Adjustment Date, the Company may cause the Trustee to cancel the Remarketed Note in accordance with the Indentures, subject to Section 309 thereof.
Following the sale of Remarketed Notes by BAS or the Purchaser to subsequent purchasers pursuant to the terms hereof, BAS and the Purchaser shall not be liable or responsible to the Parent or the Company for any losses, damages or liabilities suffered or incurred by the Parent or the Company, including any losses, damages or liabilities under the Securities Act, arising from or relating to any resale or transfer of any Remarketed Note.
Terms of redemption, if any, during the Initial Interest Rate Period for any Remarketed Note will be fixed at the time of sale of such Remarketed Note and set forth in the applicable Pricing Supplement.
Neither the Company, the Trustee nor the Remarketing Agent shall have any responsibility or liability for the payment by DTC of the principal of, or interest, if any, on, the Remarketed Note to such DTC participants.
Thereafter on such date, DTC will debit the account of the Trustee and pay, in accordance with its SDFS operating procedures then in effect, such amounts in funds available for immediate use to the respective DTC participants in whose names such Remarketed Note is recorded in the book-entry system maintained by DTC.
In the case of Remarketed Notes, terms of repayment, if any, during the Initial Interest Rate Period for any Note will be fixed at the time of sale of such Remarketed Note and set forth in the applicable Pricing Supplement.
The Transferor has requested the Security Registrar by written order to exchange or register the transfer of a Remarketed Note or Remarketed Notes.
In connection with such request and in respect of each such Remarketed Note, the Transferor does hereby certify that the Transferor is familiar with the Indenture relating to the above-captioned Remarketed Notes and that the transfer of this Remarketed Note does not require registration under the Securities Act (as defined below) because:** Such Remarketed Note is being acquired for the Transferor’s own account without transfer.
Any such consent or waiver by the Holder of this Remarketed Note shall be conclusive and binding upon such Holder and upon all future Holders of this Remarketed Note and of any Security issued upon the registration of transfer hereof or in exchange herefor or in lieu hereof, whether or not notation of such consent or waiver is made upon this Remarketed Note.
