e-voting means voting using either the internet, telephone or text message; “e-voting information” has the meaning set out in rule 24.2;
Subordinate Voting Shares means subordinate voting shares in the capital of the Company.
Multiple Voting Shares means the Class B multiple voting shares in the capital of the Corporation;
Non-Voting Shares means a particular Class of Shares that do not carry the right to notice of or to attend or vote at general meetings of the ICAV or the relevant Fund.
Special Voting Units means, collectively, special voting units of the REIT, and “Special Voting Unit” means any one of them.
Shareholder Meeting means an annual general meeting of shareholders or special meeting of shareholders of the Company called for the purpose of electing directors to the board of directors of the Company.
Vote ’ means one of the main segments into which a budget of a municipality is divided for the appropriation of funds for the different departments or functional areas of the municipality; and which specifies the total amount that is appropriated for the purposes of the department or functional area concerned.
the telephone voting system means such telephone voting facility as may be provided by the returning officer for the purpose of enabling voters to cast their votes by telephone;
Special Voting Unit means a special voting unit of the REIT;
Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;
special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.
Special Voting Share means the one share of Series B special voting preference stock with no par value, issued by US Gold to and deposited with the Trustee, which entitles the holder of record to a number of votes at meetings of holders of shares of US Gold Common Stock equal to the number of Exchangeable Shares outstanding from time to time that are held by Beneficiaries.
Special Meeting shall have the meaning set forth in Section 23(c)(i) hereof.
Shareholders Meeting has the meaning provided in Section 6.3.
Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;
Voting Debt means any bonds, debentures, notes or other indebtedness having the right to vote on any matters on which holders of capital stock of the same issuer may vote.
Company Shareholder Meeting means a duly convened meeting of the Company’s shareholders called to obtain the Company Shareholder Approval, or any valid adjournment or postponement thereof made in accordance with this Agreement.
hybrid meeting means a general meeting convened for the (i) physical attendance by shareholders and/or proxies at the Principal Meeting Place and where applicable, one or more Meeting Locations and (ii) virtual attendance and participation by shareholders and/or proxies by means of electronic facilities;
Non-Voting Common Stock means the non-voting common stock, par value $0.01 per share, of the Company.
Kick Off Meeting means a meeting convened by the Purchaser to discuss and finalize the work execution plan and procedures with the ITC.
Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).
Company Stockholder Meeting means the meeting of the holders of shares of Company Common Stock for the purpose of seeking the Company Stockholder Approval, including any postponement or adjournment thereof.
Stockholders Meeting shall have the meaning set forth in Section 6.2(c).

Registered voter means any person who is maintained on the Virginia voter registration system. All
Public meeting means a meeting that is required to be open to the public under Title 52, Chapter 4, Open and Public Meetings Act.
