Management Incentive Plan On the Effective Date, the Reorganized Company shall adopt a management incentive plan (the “MIP”), which shall reserve 10% of the New Common Stock (the “MIP Equity”), on a fully diluted basis.
The board of directors or managers, as applicable, of the Reorganized Company (the “New Board”) shall be determined and selected by the Required Consenting 2029 Holders, in their sole discretion, including with respect to size, composition, and identity of members.
