Replacement Compound definition

Replacement Compound means a Long-Acting â2 Adrenoceptor Agonist that meets the Criteria and is provided by Theravance or GSK, as applicable, (and "GSK Replacement Compound" and "Theravance Replacement Compound" shall be interpreted accordingly) after the Effective Date to replace a Pooled Compound for which Development has been discontinued due to Technical Failure.
Replacement Compound means a Blood Pool Magnetic Resonance Contrast Agent other than Compound MS-325 discovered by Metasyn or MKG that is selected by the Joint Steering Committee as a replacement for the Licensed Compound pursuant to Section 4.1.3 hereof. In appropriate cases, Replacement Compounds may be any one or more Outside Compounds.
Replacement Compound means the composition known as [*] as described in Exhibit E.

Examples of Replacement Compound in a sentence

  • Nothing in the foregoing shall preclude either Party from having the option of offering up a Replacement Compound for a Pooled Compound at any time during the period referred to in Section 14.5 (subject to the Criteria being met and Joint Steering Committee approval pursuant to Section 3.1.3(f)).

  • Samples of the Licensed Compound, Outside Compounds, Second Generation Compounds and/or any Replacement Compound provided by either Party to the other Party in the course of the Program shall not be supplied or sent by either party to any Third Party, other than to regulatory agencies, except pursuant to a written materials transfer and/or confidentiality agreement in a form typical of that utilized by the appropriate party in its ordinary and normal course of business.

  • The collaboration will include a Development Program for Compound MS-325, any Replacement Compound, any Second Generation Compounds (as well as, if and when deemed necessary by the Parties, the acquisition of rights to Outside Compounds and the conduct of a Research Program) and the commercialization of the corresponding Licensed Products in the Territory.

  • Each such Replacement Compound Designation shall be reflected in a written notice to Targacept on or before the applicable Replacement Expiration Date.

  • In the event that the Research Program is terminated with respect to any compound pursuant to Section 13.2.2, then such compound may not be designated as a Second Generation Compound or a Replacement Compound by the Joint Steering Committee.

  • In the event that the Development Phase is terminated with respect to any compound pursuant to Section 13.1.2, then such compound may not be designated as a Second Generation Compound or a Replacement Compound by the Joint Steering Committee.

  • The Joint Steering Committee shall amend the Annual Marketing Plan to reflect the selection of any Replacement Compound and/or Second Generation Compounds and/or Outside Compounds.

  • For the avoidance of doubt, a “Terminated Development Collaboration Product” can be any of the following: (i) a Pooled Compound and/or (ii) a Replacement Compound and/or (iii) a single agent LABA Collaboration Product and/or (iv) a LABA/ICS Combination Product and/or (v) an Other Combination Product.

  • In the event that a Small Molecule Compound or Small Molecule Product shall fail to achieve Regulatory Approval in any country ("Failed Compound"), such milestone amount paid shall be applied to any future Compound or Product put into development by the Joint Project Team ("Replacement Compound").

  • Milestone payments for a Replacement Compound that proceeds in further development (as determined by the Joint Project Team) following the time that the Failed Compound was taken out of the Collaboration Program shall resume only after all such credits due to Genentech are applied.


More Definitions of Replacement Compound

Replacement Compound shall have the meaning described in Section 5.2.
Replacement Compound means any Compound which is selected by Penwest pursuant to the provisions of Section 2.3.4, together with (a) all known metabolites thereof, (b) all Compounds resulting from standard medicinal chemical optimizing practices to enhance ADME (Absorption, Distribution, Metabolism and Excretion) properties of such Compound, including without limitation esters, prodrugs, salts, and non-covalent derivatives thereof, and (c) any other Compounds within the markush group therefor.

Replacement Compound means (i) a derivative or analog of a Development Compound or (ii) a Collaboration Compound, in each case that is selected to replace a Development Compound prior to the Opt-Out Date by the JSC or after the Opt-Out Date by the Selling Party.
