Purchaser shall pay any and all fees, expenses, deposits or other amounts under or in connection with any Replacement Credit Support Arrangements.
SE Corp shall, and shall cause its Affiliates to, provide reasonable cooperation to SEP in connection with SEP’s efforts to obtain each Replacement Credit Support pursuant to this Section 6.7.
Buyer shall provide to Seller at Closing written evidence of such Replacement Credit Support Arrangement.

The other Party shall return the original Credit Support to the Party causing the Replacement Credit Support to be issued within five (5) Business Days after receipt of the Replacement Credit Support.

SPAC shall have provided evidence that (i) all Replacement Credit Support has been put in place and will become effective as of the Closing and (ii) all existing credit support shall have been released at the Closing, in each case to the Company’s reasonable satisfaction.
Assignor shall remain liable to Southern for the performance of all obligations under the Assigned Agreement; provided, however, when Assignee has delivered to Southern its Replacement Credit Support (the “Release Condition”) and the other Closing requirements have been satisfied, then Assignor (but not Assignee) shall be fully and unconditionally released from any and all obligations arising under the Assigned Agreement without any further action by any Person.
