Replacement Equity Securities definition

Replacement Equity Securities means equity securities that are listed on a national securities exchange (including by use of American Depository Receipts or any similar method) and are freely transferable under all applicable federal and state securities laws and regulations.
Replacement Equity Securities means (i) common Capital Stock of the Borrower and (ii) any other equity security of the Borrower with terms and provisions substantially similar to the HIGH TIDES and reasonably satisfactory to the Required Lenders.
Replacement Equity Securities means future preferred or other equity securities that the Borrower may issue after the Effective Date to refinance all or a portion of the Remaining ARPS in an aggregate amount of up to $35,000,000 which are issued on terms and conditions satisfactory and consented to by the Agent and the Required Banks, such consents not to be unreasonably withheld.
