Replacement Selling Agent definition

Replacement Selling Agent means the Replacement Selling Agent appointed by the Issuer or the Trustee, as the case may be, in accordance with Condition 17 (Appointment of Replacement Selling Agent, Replacement Calculation Agent and Replacement Agent Bank).

  • At any time at which the Event of Default under the Swap Agreement is continuing (having taken into account any applicable grace period) the Selling Agent (provided it is a Replacement Selling Agent) may instruct the Issuer (with a copy to the Trustee) to terminate the Swap Agreement.

  • In the event that Selling Agent ceases to maintain or possess an Eligible Credit Rating (as defined below) and the Issuer fails to appoint a Replacement Selling Agent in accordance with the terms of the Selling Agency Agreement, the ability of the Issuer to (through its agents) arrange the liquidation of any RMBS Issuer Assets (the “Realisation Assets”) will be affected.

  • Replacement Servicer has the meaning assigned to that term in Section 6.01(c).

  • Replacement Agent means the Fiscal Agent or, in respect of any Tranche of Notes, the Paying Agent named as such in the relevant Final Terms or Drawdown Prospectus (as the case may be);

  • Closing Agent means the attorney, real estate firm, or closing company that is closing the cash sale qualifying purchase transaction and that prepares the cash sale settlement statement.

  • Purchaser/ User means ultimate recipient of goods and services

  • Repo Custodian shall have the meaning set forth in the preamble of this Agreement.

  • Secondary Seller means the Seller whose Bid City selected as a back-up supplier in the event the Primary Seller is unable to provide all the Goods and/or Services required.

  • Notice of Replacement Subordination Agent has the meaning specified in Section 3.08.

  • Replacement Service Provider means any third party service provider appointed to perform the Services by the Purchaser from time to time.

  • Distributor representative means a representative employed by a distributor branch or distributor.

  • Selling Institution The entity obligated to make payments to the Issuer under the terms of a Participation Interest.

  • Sub-Custodian means and include (i) any branch of a “U.S. bank,” as that term is defined in Rule 17f-5 under the 1940 Act, and (ii) any “Eligible Foreign Custodian” having a contract with the Custodian which the Custodian has determined will provide reasonable care of assets of the Fund based on the standards specified in Section 3.3 below. Such contract shall be in writing and shall include provisions that provide: (i) for indemnification or insurance arrangements (or any combination of the foregoing) such that the Fund will be adequately protected against the risk of loss of assets held in accordance with such contract; (ii) that the Foreign Securities will not be subject to any right, charge, security interest, lien or claim of any kind in favor of the Sub-Custodian or its creditors except a claim of payment for their safe custody or administration, in the case of cash deposits, liens or rights in favor of creditors of the Sub-Custodian arising under bankruptcy, insolvency, or similar laws; (iii) that beneficial ownership for the Foreign Securities will be freely transferable without the payment of money or value other than for safe custody or administration; (iv) that adequate records will be maintained identifying the assets as belonging to the Fund or as being held by a third party for the benefit of the Fund; (v) that the Fund’s independent public accountants will be given access to those records or confirmation of the contents of those records; and (vi) that the Fund will receive periodic reports with respect to the safekeeping of the Fund’s assets, including, but not limited to, notification of any transfer to or from a Fund's account or a third party account containing assets held for the benefit of the Fund. Such contract may contain, in lieu of any or all of the provisions specified in (i)-(vi) above, such other provisions that the Custodian determines will provide, in their entirety, the same or a greater level of care and protection for Fund assets as the specified provisions.

  • Replacement Provider has the meaning set forth in Section II.D.1.

  • State Purchasing Agent means the director of the purchasing division of the general services department.

  • Purchaser means the organization purchasing the goods.

  • Escrow Paying Agent Means the Person acting as paying agent under the Escrow Agreement.

  • Replacement Services means any services which are substantially similar to any of the Services and which the Customer receives in substitution for any of the Services following the Call Off Expiry Date, whether those services are provided by the Customer internally and/or by any third party;

  • Existing Agent has the meaning assigned to such term in the recitals hereto.

  • Issuer Representative means the Chairman of the Board of the Issuer or such other person at the time, and from time to time, designated by written certificate of the Issuer furnished to the Borrower containing the specimen signature of such person and signed on behalf of the Issuer by its Chairman. Such certificate shall designate an alternate or alternates, any of whom may act at any time as Issuer Representative.

  • Locational UCAP Seller means a Member that sells Locational UCAP.

  • Sub-processor means any Data Processor engaged by MailChimp or its Affiliates to assist in fulfilling its obligations with respect to providing the Services pursuant to the Agreement or this DPA. Sub-processors may include third parties or members of the MailChimp Group.
