Replacement Software definition

Replacement Software has the meaning ascribed to it in the definition of Replacement Software Required Actions.
Replacement Software means any software we generally make available to all our customers to replace all or part of the Software. Replacement Software excludes anything which we inform you is separate software, even if it is similar to the Software, or capable of being integrated with the Software.

Examples of Replacement Software in a sentence

  • Licensee will not receive any credit for software replaced by Replacement Software.

  • If Tanium introduces a successor product (“Replacement Software”) with substantially the same features and functionality as the original Licensed Software, and Customer has purchased and is entitled to Support Services for the original Licensed Software as of the date Tanium offers the Replacement Software to customers, then Customer shall be entitled to receive, upon request, the Replacement Software (without additional charge) and Support Services thereon.

  • Developer agrees that any Licensed Software update or upgrade (the "Replacement Software") provided by Echelon is subject to this Agreement.

  • Promptly following its use of any Updates, Bug Fixes or other replacement software as designated by OSIsoft and accepted by Licensee (“Replacement Software”), except for archival copies, Licensee will return or destroy the OSIsoft Software replaced by the Replacement Software.

  • Developer agrees that any Licensed Software update or upgrade (the "Replacement Software") provided by Echelon is subject to this Agreement (whether provided as part of Support or for a separate fee).

  • In the event that Echelon provides Developer with Replacement Software, then Developer agrees to destroy all copies of the prior release of the applicable Licensed Software within thirty (30) days after receipt of Replacement Software; provided, however, that Developer may retain one copy of the prior release for backup, archival and support purposes.

  • To allow a smooth change over to the Replacement Software, you may continue to use both the Software and the Replacement Software for 3 months.

  • Then the Licence to use the Software will stop and only cover the Replacement Software, and the wording of paragraph 9.4 (about returning the Software) will apply to the replaced Software.

  • If you obtain Replacement Software which replaces all or part of the Software (for example a new release) the Licence described in paragraph 4 will cover you to use it, from the date you first use Replacement Software.

  • The Customer’s rights to use the originally supplied Software will end on the date that the Replacement Software is provided to the Customer by Superloop.

Related to Replacement Software

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.
