Reporting Persons means a person subject to Section 16 of the Exchange Act.

Executive agrees to devote substantially all of Executive’s working time, attention and efforts to the Company and to perform the duties of Executive’s position in accordance with the Company’s written policies as in effect from time to time; provided, however, that Executive may (i) serve on civic or charitable boards or committees and, with the consent of the Company’s Board of Directors, corporate board of directors unrelated to the Company (it being understood that for purposes of this Agreement the Company’s Board of Directors hereby consents to Executive’s membership on those corporate Boards of Directors on which Executive serves as of the Effective Date), (ii) deliver lectures or fulfill speaking engagements and (iii) manage personal investments, in each case so long as such activities, individually or in the aggregate, do not conflict or interfere with the performance of Executive’s duties under this Agreement, other than in any immaterial respect, or conflict with Executive’s obligations under Section 2 of the Standard Terms and Conditions attached hereto.
