Request for Increase definition

Request for Increase means the notice to be delivered to the Trustee and each VBC Holder in connection with any Increase pursuant to Section 6.1 hereof, substantially in the form attached as Exhibit E hereto.

(g) Section 8.1(k) of the Credit Agreement is hereby amended and restated to read in full as follows: "Borrower, Guarantor or a subsidiary of Borrower or Guarantor defaults (taking into account applicable notice and cure periods, if any) in connection with any credit such Person has with any holder of Indebtedness of such Person, (i) and such default consists of the failure to make a payment when due on one or more obligations that are recourse to Borrower, Guarantor or a subsidiary of Borrower or Guarantor whose outstanding principal amount exceeds $50,000,000 individually or in the aggregate and such default has not been waived by the holder of such Indebtedness, or (ii) as result of such default, one or more obligations that are recourse to Borrower, Guarantor or a subsidiary of Borrower or Guarantor whose outstanding principal amount exceeds $50,000,000 individually or in the aggregate have been accelerated; or

Examples of Request for Increase in a sentence

  • If the shortage is not paid up within 5 business days from (and exclusive) the day of demand for the payment of such shortage, the Request for Increase in Purchase shall be null and void.

  • The Company shall suspend the acceptance of any Request for Increase in Purchase during the period of 12 business days prior to March 31 and the period of 12 business days prior to September 30 of every year.

  • The unit price of the shares requested in the Request for Increase in Purchase shall be an amount equivalent to the last sales price of the share of the Company on the Tokyo Stock Exchange on the effective date of such Request for Increase in Purchase.

  • The balance of the provisional purchase price after deduction of the Purchase Amount pursuant to the preceding paragraph, if any, shall be refunded by a telegraphic transfer to the bank account designated by the shareholder who submitted the Request for Increase in Purchase or by a post-office order.

  • In the case of the Request for Increase in Purchase under the preceding Article, if the sum paid by an applicant as the provisional purchase price is less than the amount to be calculated pursuant to the preceding paragraph, then the Company shall not accept such Request for Increase in Purchase.

  • Provided, however, that the Request for Increase in Purchase shall be submitted by a beneficial shareholder through the Participant and JASDEC.

  • Method of Request for Sale) Article 26 If a shareholder holding the Under-Unit Shares makes a request (hereinafter the "Request for Increase in Purchase") to sell such number of shares as are necessary to make one unit by adding the number of the Under-Unit Shares held by himself (or herself), a prescribed application form shall be submitted together with the share certificate concerned and the sum of the provisional purchase price set forth in Article 27 below.

Related to Request for Increase

  • Request for Loan means a written request for a Loan substantially in the form of Exhibit E, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be included therein.

  • Request for Information shall have the meaning set out in FOIA or the Environmental Information Regulations as relevant (where the meaning set out for the term “request” shall apply).

  • Request for Advance means a Request for Revolving Credit Advance or a Request for Swing Line Advance, as the context may indicate or otherwise require.

  • Request for Issuance means a request made pursuant to Section 2.04 in the form of Exhibit B.

  • Borrowing Notice is defined in Section 2.8.

  • Request for Credit Extension means (a) with respect to a Borrowing, conversion or continuation of Committed Loans, a Committed Loan Notice, (b) with respect to an L/C Credit Extension, a Letter of Credit Application, and (c) with respect to a Swing Line Loan, a Swing Line Loan Notice.

  • Loan Request means a letter in substantially the form of Exhibit A hereto executed and delivered by the Borrower to the Administrative Agent and the Group Agents pursuant to Section 2.02(a).

  • Commitment Increase Supplement as defined in subsection 2.20(c).

  • Incremental Loan Request has the meaning set forth in Section 2.14(a).

  • Request for Extension of Credit means (a) with respect to a Borrowing of Loans (including Swing Line Loans) or the conversion or continuation of Loans, a Loan Notice and (b) with respect to an L/C Credit Extension, a Letter of Credit Application.

  • Notice of Continuation or Conversion has the meaning provided in Section 2.10(b).

  • Commitment Increase Agreement has the meaning assigned to such term in Section 2.20.

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Term Loan Election has the meaning specified in Section 2.06.

  • Notice of Borrowing has the meaning specified in Section 2.02(a).

  • Term Loan Extension Request has the meaning set forth in Section 2.16(a).

  • Request for Payment means a payment application or declaration of expenditure submitted by the Member State to the Commission;

  • Notice of Swing Line Borrowing has the meaning specified in Section 2.02(b).

  • Requests for Information means a request for information or an apparent request under the Code of Practice on Access to Government Information, FOIA or the Environmental Information Regulations;

  • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit H, signed by a Responsible Official of Borrower, and properly completed to provide all information required to be included therein.

  • Request for Borrowing has the meaning provided in Section 2.3(a).

  • Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer of the Borrower.

  • Notice of Drawdown means a notice substantially in the form set out in Schedule 4 (Notice of Drawdown).

  • Request for Purchase shall have the meaning specified in paragraph 2B(3).
