Required Authorization definition

Required Authorization is defined in Section 3.7(a).
Required Authorization means any registration, filing, declaration, application or notice to or with any person and any consent, approval, permit, qualification, waiver, waiting period, authorization, Order or action of or by any person. “Required Authorization” shall include any consent, approval, waiver, authorization or other action required or to prevent any assets or Liabilities of the Company from being in default, terminating, accelerating, revoking, suspending, canceling, losing or diminishing in value, changing in any respect or creating any Liability or giving any person any rights or remedies as a result of the consummation of the Contemplated Transactions.
Required Authorization has the meaning set forth in Section 3.20(b).

Examples of Required Authorization in a sentence

  • Applicant shall use its commercially reasonable efforts and due diligence to obtain the Required Authorizations for the Facility and shall promptly respond to any questions or information requests from any governmental authority responsible for or otherwise involved in the review of Required Authorization Applications.

  • Upon Sublessor’s written request, Applicant shall furnish to Sublessor copies of all Required Authorization Applications and any correspondence or other written documentation received from or delivered to any governmental authority responsible for or otherwise involved in the review of Required Authorization Applications.

  • In the event that (i) any SU Required Authorization shall not be obtained by SU prior to the Closing Date or (ii) any other right is identified by Oncor to SU as an SU Nontransferable Right after the Closing Date, SU acknowledges and agrees that it shall be bound by, and Oncor as a result of the SU merger shall have a right to enforce, SU’s obligations set forth in Section 4.02 of the SU Pre-Closing Merger Agreement.

Required Authorization means the amendment to the Articles of Incorporation to increase the authorized Common Stock and then to reserve up to 1,000,000,000shares of Company common stock comprising the Common Stock and Common Stock equivalents issued pursuant to this Agreement, including without limitation the Conversion Shares and Warrant Shares.

Required Authorization means any consent required under Applicable Laws to (a) collect, capture, make and/or store Recordings relating to Participants, (b) use a Recording, an individual’s PHI, or other Personally Identifiable Information for the purposes described in Section 2.3.1 (“Data Collection; Authorizations; Provision and Use of Data”), and (c) to disclose any of the foregoing information for such purposes to Nuance, Nuance Affiliates, and their respective subcontractors and other third party providers, and Co-Development Partner(s). “Personally Identifiable Information” means all data defined as personally identifiable information, personal information, or personal data under Applicable Laws, and this term also includes PHI. “Applicable Laws” are defined as federal, state or local law or regulations pertaining to privacy or security of patient or other personal or medical information of individuals, including but not limited to HIPAA or laws pertaining to wiretaps or consents to make recordings.

  • Required Authorisation means any authorisation, consent, declaration, licence, permit, exemption, approval or other document, whether imposed by or arising in connection with any law, regulation, custom, contract, security or otherwise howsoever which must be obtained at any time from any person, Government Entity, central bank or other self-regulating or supra-national authority in order to enable the Borrowers lawfully to borrow the loan or draw any Advance and/or to enable any Security Party lawfully and continuously to continue its corporate existence and/or perform all its obligations whatsoever whensoever arising and/or grant security under the relevant Security Documents and/or to ensure the continuous validity and enforceability thereof;

  • Sell Authorization means that Partner needs to meet specific training and qualification requirements for the products included in an “On Premise” Product Family that Partner wants to resell as set out in detail in the PartnerEdge Program Guide and the applicable RSPI.

  • Service Authorization means that Open Ecosystem Partner needs to meet specific qualification requirements for the products included in a “Service” Product Family that Open Ecosystem Partner wants to promote and offer Services for as set out in detail in the Open Ecosystem Program Guide.

  • Prior authorization means that we must approve the Services in advance in order for the Services to be covered.

  • Private Authorizations means all franchises, permits, licenses, approvals, consents and other authorizations of all Persons (other than Governmental Authorities).
