Required Consent Leases definition
Required Consent Leases means those Head Leases with respect to which the Landlord’s consent is required for (x) assignment or sublease to a member of the Parent Group or a member of the SpinCo Group, as applicable, as contemplated by the Separation Agreement or under this Agreement, or (y) any of the other transactions relating to real property contemplated by the Separation Agreement or the other Ancillary Agreements.
Required Consent Leases means those Leases identified on Exhibit I hereto.
Required Consent Leases as defined in Section 5.1 of the Disclosure Schedule.
Examples of Required Consent Leases in a sentence
The Company and the Company Subsidiaries shall use commercially reasonable efforts to obtain consents, waivers or approvals, as applicable, in respect of each of the Required Consent Leases prior to Closing.
The Required Consent Leases and the 4-Wall EBITDA of the clinics covered by each such Lease are set forth on Schedule 5.9.
The Shareholders’ Representative shall keep the Purchaser advised concerning all communications with the lessors of the Required Consent Leases.
