Required Filings definition
Required Filings shall have the meaning specified in the Pledge and Security Agreement.
Required Filings means (a) any filing required pursuant to Section 4.3 or 4.14, (b) the notice and/or application(s) to each applicable Trading Market for the issuance and sale of the Securities and, if and as applicable, the listing of the Conversion Shares for trading thereon in the time and manner required thereby and (c) the filing of Form D with the Commission and such filings as are required to be made under applicable state securities laws.
Required Filings shall have the meaning ascribed to such term in Section 3.1(e).
Examples of Required Filings in a sentence
The execution and delivery of this Agreement and each of the other Transaction Documents and the Lead Investor Agreements by the Company and the consummation by it of the transactions contemplated hereby and thereby have been duly authorized by all necessary action on the part of the Company and no further action is required by the Company, the Board of Directors or the Company’s stockholders in connection herewith or therewith other than in connection with the Required Filings.
