Required Funding Date definition

Required Funding Date is defined in Section 3.2.3.1.

Required Funding Date means, 5:00pm, on the 25th business day following the date that all of the following conditions (the “Funding Conditions”) are satisfied: (x) Icahn Enterprise and High River have both received written notice from Employee of the existence of the First Bona Fide Fund, (which has been funded as a result of a Covered Marketing Event, and complies with the requirements set forth in the definition of First Bona Fide Fund); and (y) written notice has been given by Employer to Employee of the satisfaction of Section 7(c) with respect to the Management Companies relating to the First Bona Fide Fund.

  • Such Required Funding Date shall correspond to the end of a Fiscal Month.

More Definitions of Required Funding Date

Required Funding Date means, 5:00pm, on the 25 th business day following the date that all of the following conditions (the “Funding Conditions”) are satisfied: (x) Icahn Enterprise and High River have both received written notice from Employee of the existence of the First Bona Fide Fund, (which has been funded as a result of a Covered Marketing Event, and complies with the requirements set forth in the definition of First Bona Fide Fund); and (y) written notice has been given by Employer to Employee of the satisfaction of Section 7(c) with respect to the Management Companies relating to the First Bona Fide Fund.
Required Funding Date means (i) the second Trading Day (as defined in the Equity Commitment Document described in clause (b) of such definition) following February 27, 2023 and (ii) every twenty (20) Trading Days thereafter, until such time as the entire Equity Commitment has been funded to the Company pursuant to the Equity Commitment Documents.
Required Funding Date means (i) March 7, 2023, (ii) April 6, 2023, and (iii) every twenty-two (22) Trading Days thereafter, until such time as the entire Equity Commitment has been funded to the Company pursuant to the Equity Commitment Documents.
Required Funding Date means March 28, 2017 as such date may be extended with the consent of Required Lenders of each Class.

Related to Required Funding Date

  • Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.

  • Delayed Draw Funding Date means the date occurring on or after the Effective Date upon which all of the conditions to funding the Delayed Draw Term Loan set forth in Section 6.02 are satisfied and the Delayed Draw Term Loan is funded.

  • Closing Date Term Loans means the Term Loans made by the Term Lenders on the Closing Date to the Borrower pursuant to Section 2.01(1).

  • Closing Date Term Loan has the meaning set forth in Section 2.4(a).

  • Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.

  • Reportable Transaction means any transaction listed in Treasury Regulation Section 1.6011-4(b).

  • Loan Closing Date means the date upon which the Loan is made to the Company.

  • Securities Financing Transactions Regulation means Regulation (EU) 2015/2365 of the European Parliament and of the Council of 25 November 2015 on transparency of securities financing transactions and of reuse and amending Regulation (EU) No 648/2012;

  • Qualified Equity Financing means the first sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale or series of related sales).

  • securities lending transactions means transactions whereby a Sub-Fund lends its Securities to a security-borrowing counterparty for an agreed fee.

  • ABR Term Loan means any Term Loan bearing interest at a rate determined by reference to the ABR in accordance with the provisions of Article II.

  • Credit Event Resolution Request Date means, with respect to a notice to ISDA requesting that a Credit Derivatives Determinations Committee be convened to resolve:

  • Initial Funding means the funding of the initial Loans or issuance of the initial Letters of Credit upon satisfaction of the conditions set forth in Sections 6.01 and 6.

  • TLAC Disqualification Event means OSFI has advised the Bank in writing that the bail-inable notes issued under the applicable pricing supplement will no longer be recognized in full as TLAC under the TLAC Guideline as interpreted by the Superintendent, provided that a TLAC Disqualification Event will not occur where the exclusion of those bail-inable notes from the Bank’s TLAC requirements is due to the remaining maturity of those bail-inable notes being less than any period prescribed by any relevant eligibility criteria applicable as of the issue date of those bail-inable notes.

  • Securities Lending Agreement means an agreement under which a local agency agrees to transfer securities to a borrower who, in turn, agrees to provide collateral to the local agency. During the term of the agreement, both the securities and the collateral are held by a third party. At the conclusion of the agreement, the securities are transferred back to the local agency in return for the collateral.
