Requisite financing definition

Requisite financing means the amount and terms of each of the sources of funding represented on the tax credit application or their equivalent.
Requisite financing means all of the financing necessary for Buyer to consummate the Transactions and fund the working capital requirements of the Acquired Entities after the Closing pursuant to the terms of the term sheet previously provided to the Sellers.
Requisite financing is defined in Section 4.03.

  • Alternative Financing has the meaning specified in Section 7.6(b).

  • PIPE Financing has the meaning set forth in the recitals to this Agreement.

  • Bridge Financing means interim financing to cover Eligible Project Costs until DWSRF financing for the project is received from the State Water Board.

  • Requisite Approval means the affirmative vote of the holders of (a) at least a majority of the outstanding shares of Company Capital Stock, voting together as a single class and (b) at least a majority of the outstanding shares of Series A-1 Preferred Stock, Series B Preferred Stock and Series C Preferred Stock, voting together as a single class on an as-converted basis.

  • Requisite Amount has the meaning specified in the Spread Account Agreement.
