Residence Inn means the Residence Inn located in White Plains, New York, as further identified on Exhibit A.

Residence Inn by Marriott" and "Marriott Residence Inn" whether used alone or in connection with another word or words, and all other Proprietary Marks shall in all events remain the exclusive property of Management Company and its Affiliates. Owner shall have no right to use the Marriott or Residence Inn name or any other Proprietary Xxxx; provided, however, that Owner shall have the right, during the Term of this Agreement, to have Proprietary Signage installed (in strict conformance with the specifications provided by Management Company prior to the Effective Date, or subsequent specifications provided by Management Company from time to time during the Term) in the Inn and on the Site.
Residence Inn and other marks used, or that may in the future be used, by the Sellers or their affiliates, (ii) all property owned by the Sellers, not normally located at such Property and used, but not exclusively, in connection with the operation of such Property, (iii) all items, tangible or intangible, consisting of Proprietary Information, (iv) computer software, (v) FAS, (vi) any Inventories located at the Properties, (vii) working capital, including cash and accounts receivable, (viii) all books, ledger sheets, files and records, (ix) all contracts pertaining to the operation of the Hotels other than the Contracts, and (x) any software, manuals, brochures or directives used by the Sellers in the operation of the Hotels that will be issued by the franchisor to the Tenant, as franchisee, under the Franchise Agreements.

Included in the management fees paid are amounts paid to The Ritz-Carlton Hotel Company, LLC (Ritz-Carlton), Courtyard Management Corporation and Residence Inn Management Corporation.
These leases, which are accounted for as operating leases and are included in the table below, have initial terms expiring through 2012 for the Courtyard properties and 2010 for the Residence Inn properties, and are renewable at our option.

Deductible limits and self-insured retentions shall be as provided in the blanket policies covering the inns owned or managed by Manager under the "Residence Inn by Marriott" name in the United States.

Residence Inn. , "Residence Inn by Marriott", "Marriott Residence Inn", "TownePlace Suites" and
Residence Inn. SpringHill Suites", and "TownePlace Suites" (each of the foregoing names, together with any combination thereof, collectively, the "Trade Names") when used along or in connection with another word or words, and the Marriott, Courtyard by Marriott, Residence Inn, SpringHill Suites or TownePlace Suites trademarks, service marks, other trade names, symbols, logos and designs shall in all events remain the exclusive property of Franchisor or its Affiliated Persons, and nothing contained in this Agreement shall confer on Landlord the right to use any of the Trade Names, or the Marriott, Courtyard by Marriott, Residence Inn, SpringHill Suites or TownePlace Suites trademarks, service marks, other trade names, symbols, logos or designs other than in strict accordance with the terms of this Agreement. Upon termination of this Agreement, any use of or right to use any of the Trade Names, or any of the Marriott, Courtyard by Marriott, Residence Inn, SpringHill Suites or TownePlace Suites trademarks, service marks, other trade names, symbols, logos or designs by Landlord shall be governed by the Franchise Agreement and/or Owner Agreement, upon termination of this Agreement, and, if the Franchise Agreement or a replacement Franchise Agreement will not remain in effect, Landlord shall promptly remove from the Hotel any signs or similar items which contain any of the Trade Names, trademarks, service marks, other trade names, symbols, logos or designs. If Landlord has not removed such signs or similar items within ten (10) Business Days after termination of this Agreement, Tenant shall have the right to do so at Landlord's expense. Included under the terms of this section are all trademarks, service marks, trade names, symbols, logos or designs used in conjunction with the Hotel, including, but not limited to, restaurant names, lounge names, etc., whether or not the marks contain the "Marriott" name or the Courtyard by Marriott, Residence Inn, SpringHill Suites or TownePlace Suites name. The right to use such trademarks, service marks, trade names, symbols, logos or designs belongs exclusively to Tenant, and the use thereof inures to the benefit of Tenant whether or not the same are registered and regardless of the source of the same. The provisions of this Section 22.16(a) shall survive termination of this Agreement.

Residence Inn shall have the meaning ascribed thereto in the preamble to this Agreement.
Residence Inn and other marks used by the Seller, Host, the Manager or any of their subsidiaries or affiliates, (ii) all property owned by the Seller, Host, the Manager or any of their subsidiaries or affiliates, not normally located at such Property and used, but not exclusively, in connection with the operation of such Property and (iii) any other property which is the property of the Manager or an affiliate or subsidiary of the Manager, including, without limitation, the Proprietary Marks, Proprietary Signage and Software (as such terms are defined in the Management Agreements) and all computer equipment proprietary to the Manager or any affiliate or subsidiary of the Manager.
