Resolution by the Members definition

Resolution by the Members means a decision taken by a majority of the Members present at an Annual General meeting duly constituted by no less than 21 days’ written notice or at a Special General Meeting duly constituted by no less than 14 days’ written notice (or shorter notice in both instances if condoned in terms of clause 26.1.1 and 26.1.2).

  • Your Directors recommend the approval of proposed Resolution by the Members.

  • Authorization of any financial transaction acquisition, lease, sale of property in an amount exceeding one hundred thousand dollars ($100,000) shall require the approval of an Ordinary Resolution by the Members.

  • The Warrants shall be allotted in dematerialized form within a period of 15 days from the date of passing of the Special Resolution by the Members, provided that where the said allotment is pending on account of pendency of any application for approval/permission for such allotment by any regulatory authority, if applicable, the allotment shall becompleted within a period of 15 (Fifteen) days from the date of receipt of last of such approvals or permissions.

  • The Buy-back, subject to the regulatory consents and approvals, if any, is proposed to be completed within 12 months from the date of passing of Special Resolution by the Members as contemplated in this Postal Ballot Notice.

  • The relevant date for the purpose of pricing shall be Friday, 29th July, 2016, being the date which is 30 (thirty) days prior to the date of passing of Special Resolution by the Members of the Company in Annual General Meeting to approve the proposed preferential issue, in accordance with the SEBI (ICDR) Regulations.

Related to Resolution by the Members

  • Major Decision means:

  • Resolution shall have the meaning specified in Section 8(E).

  • Major Decisions shall have the meaning given to such term or any one or more analogous terms in the Lead Securitization Servicing Agreement; provided that at any time that Note A-1 is not included in the Lead Securitization, “Major Decision” shall mean:

  • General Member means a party, and that party’s Affiliates, that has executed this Project Charter at the General Member level, unless that General Member has withdrawn or been terminated from the Project, or has changed membership level.

  • Event of Withdrawal has the meaning assigned to such term in Section 11.1(a).

  • Simple Majority means a decision made by the Management Committee by more than 50 percent of the votes represented and entitled to be cast at a meeting thereof.

  • Voting Members has the meaning set forth in Section 4.07(b).

  • Event of withdrawal of a general partner means an event that causes a person to cease to be a general partner as provided in section 402.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Neutral Member has the meaning provided in Section 2. 1(f)(ii) of this Single Family Shared-Loss Agreement.

  • Panel Member ’ means a member of a panel;

  • Members means all such Persons.

  • Public member means an individual who is not, and never

  • Non-Voting Member means a member of a Committee or Sub- Committee of the Council who is not a member of the Council and is not entitled to vote on any matter coming before that Committee or Sub- Committee;

  • Tribal Member means an enrolled member of the Tribe.
