Your Directors recommend the approval of proposed Resolution by the Members.
Authorization of any financial transaction acquisition, lease, sale of property in an amount exceeding one hundred thousand dollars ($100,000) shall require the approval of an Ordinary Resolution by the Members.
The Warrants shall be issued and allotted in dematerialised form within a period of 15 (fifteen) days from the date of passing of the Special Resolution by the Members, provided that where the issue and allotment of the said Warrants is pending on account of pendency of any approval for such issue and allotment by any regulatory authority, the issue and allotment shall be completed within a period of 15 (fifteen) days from the date of such approval.
Authorization of the acquisition, lease, sale, or otherwise dealing with real property transactions shall require the approval of a Special Resolution by the Members.
The Relevant date for the purpose of this issue shall be Tuesday, August 29, 2017, being the date 30 days prior to the deemed date of passing of Special Resolution by the Members of the Company in its 21st AGM to approve the proposed preferential issue, in accordance with the SEBI ICDR Regulations.
The proposed time limit within which the allotment shall be completed is 12 (Twelve) months from the date of passing the Special Resolution by the Members of the Company, approving the issue.
Except as may otherwise be expressly provided in these Bylaws, the provisions of Constitution and Bylaws shall only be amended by the passing of a Special Resolution by the Members at a General Meeting.
The Warrants shall be allotted in dematerialized form within a period of 15 days from the date of passing of the Special Resolution by the Members, provided that where the said allotment is pending on account of pendency of any application for approval/permission for such allotment by any regulatory authority, if applicable, the allotment shall becompleted within a period of 15 (Fifteen) days from the date of receipt of last of such approvals or permissions.
The Buy-back, subject to the regulatory consents and approvals, if any, is proposed to be completed within 12 months from the date of passing of Special Resolution by the Members as contemplated in this Postal Ballot Notice.
The relevant date for the purpose of pricing shall be Friday, 29th July, 2016, being the date which is 30 (thirty) days prior to the date of passing of Special Resolution by the Members of the Company in Annual General Meeting to approve the proposed preferential issue, in accordance with the SEBI (ICDR) Regulations.
