Resolution by the Members definition

Resolution by the Members means a decision taken by a majority of the Members present at an Annual General meeting duly constituted by no less than 21 days’ written notice or at a Special General Meeting duly constituted by no less than 14 days’ written notice (or shorter notice in both instances if condoned in terms of clause 26.1.1 and 26.1.2).

Examples of Resolution by the Members in a sentence

  • Your Directors recommend the approval of proposed Resolution by the Members.

  • Authorization of any financial transaction acquisition, lease, sale of property in an amount exceeding one hundred thousand dollars ($100,000) shall require the approval of an Ordinary Resolution by the Members.

  • The “Relevant Date” in accordance with SEBI (ICDR) Regulations would be August 09, 2021 being the date 30 days prior to the date of passing of the Resolution by the Members of the Company for the proposed preferential issue of Equity Shares.

  • We had entered into contracts with independent contractors to complete specified assignments and these contractors may be required to source the labour necessary to complete such assignments.

  • Directors will be elected by Ordinary Resolution by the Members at a Meeting of Members at which an election of Directors is required and will take office at the conclusion of such meeting.

  • Approved by the members , for a mutual savings bank, means approved by a majority of all votes cast at a duly held regular meeting or special meeting.

  • Major Decision means:

  • Additional Members means those Members, if any, admitted to the Company after the Effective Date.

  • Event of withdrawal of a general partner means an event that causes a person to cease to be a general partner as provided in section 402.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Neutral Member has the meaning provided in Section 2. 1(f)(ii) of this Single Family Shared-Loss Agreement.

  • Structural member means any load-supporting member of a facility, such as beams and load-supporting walls, or any nonload-supporting member, such as ceilings and nonload-supporting walls.

  • Panel Member ’ means a member of a panel;

  • Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.

  • Class A Members means those Members who have purchased Class A Interests.

  • Resolution of Shareholders means either:

  • Majority Vote means a vote made by more than half of the Members who are present at a Meeting and who are entitled to vote and voting at that Meeting upon a resolution put to that Meeting.

  • Public member means an individual who is not, and never

  • Non-Voting Member means a member of a Committee or Sub- Committee of the Council who is not a member of the Council and is not entitled to vote on any matter coming before that Committee or Sub- Committee;

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Tribal Member means an enrolled member of the Tribe.
