Responsible Offer definition

Responsible Offer means, with respect to any Issuer Trustee, the President, any Senior Vice President, any Vice Present, any Assistant Vice President, the Secretary, any Assistant Secretary, the Treasurer, any Assistant Treasurer, any Trust Officer or Assistant Trust Officer of such Issuer Trustee, in each case with direct responsibility for the administration of the Trust.
Responsible Offer means, with respect to any Issuer Trustee any officer in the Corporate Trust Department of such Issuer Trustee, in each case with direct responsibility for the administration of the Trust.
Responsible Offer means the chief executive officer or the president of Borrower or any Credit Party, or any other officer having substantially the same authority and responsibility; or, with respect to compliance with financial covenants or delivery of financial information, the chief financial officer or the treasurer of Borrower or any Credit Party, or any other officer having substantially the same authority and responsibility.

  • The Trustee shall notify the Company, Holdings and the Guarantors promptly of any claim of which a Responsible Offer has received notice for which it may seek indemnity.
