Restricted Global Class A-4 Note definition

Restricted Global Class A-4 Note has the meaning specified in Section 6.1 of this Series Supplement.
Restricted Global Class A-4 Note and, collectively, the “Restricted Global Notes”), substantially in the form set forth in Exhibit A-1-1, Exhibit A-1-2, Exhibit A-1-3 and Exhibit A-1-4, respectively, hereto, with such legends as may be applicable thereto as set forth in the Base Indenture, and will be sold only in the United States (1) initially to institutional accredited investors within the meaning of Regulation D under the Securities Act in reliance on an exemption from the registration requirements of the Securities Act and (2) thereafter to qualified institutional buyers within the meaning of, and in reliance on, Rule 144A under the Securities Act and shall be deposited on behalf of the purchasers of the Series 2005-1 Notes represented thereby, with a custodian for DTC, and registered in the name of Cede as DTC’s nominee, duly executed by ARG and authenticated by the Trustee in the manner set forth in Section 2.4 of the Base Indenture. Interests in a Restricted Global Note will be exchangeable for definitive Series 2005-1 Notes in accordance with the provisions of the Base Indenture (as modified by this Series Supplement).
Restricted Global Class A-4 Note is defined in Section 5.1.

Related to Restricted Global Class A-4 Note

  • Class A-4 Note means any of the 3.11% Asset Backed Notes, Class A‑4, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.

  • Class A-3 Note means any of the ___% Asset Backed Notes, Class A-3, issued under the Indenture.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-2a Notes means the $359,000,000 Class A-2a 5.14% Asset Backed Notes issued by the Issuer, substantially in the form of Exhibit A to the Indenture.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Restricted Global Note means a Global Note bearing the Private Placement Legend.

  • Restricted Global Certificate Has the meaning specified in Section 3.01(c).

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Restricted Global Notes means the Rule 144A Global Notes and the Regulation S Global Notes, all of which shall bear the Private Placement Legend.

  • Initial Class A-4 Note Balance means $75,000,000.

  • Class A-2 Note means any of the 0.36% Asset Backed Notes, Class A‑2, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class C Note means any one of the Series 2024-1 6.48% Rental Car Asset Backed Notes, Class C, executed by ABRCF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit C-1, Exhibit C-2 or Exhibit C-3. Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Unrestricted Global Notes means Global Notes that are not required to bear, or are not subject to, the Restricted Notes Legend.

  • Restricted Global Security As defined in Section 3.01(c).

  • Initial Class A-3 Note Balance means $380,000,000.

  • Unrestricted Global Note means a permanent Global Note, substantially in the form of Exhibit A that bears the Global Note Legend and that has the “Schedule of Exchanges of Interests in the Global Note” attached thereto, and that is deposited with or on behalf of and registered in the name of the Depositary, representing Notes that do not bear the Private Placement Legend.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-1 Note means any of the 0.23000% Asset Backed Notes, Class A-1, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Unrestricted Global Security means a Global Security that is not a Restricted Security.

  • Class D Notes has the meaning assigned to such term in the Indenture.
