Restricted Parties List definition
Restricted Parties List means the United States Department of Commerce Entity List, Denied Persons List, and Unverified List, the United States Department of Treasury Specially Designated Nationals and Blocked Persons List, and the United States Department of State Debarred Parties List.
Restricted Parties List is defined in Section 9; “Site” means any property, warehouse, building or facility owned, leased or operated by the Grantor from time to time where any Organization Party is present for purposes of this Agreement; “Third Party Claim” is defined in Section 6(b); “Organization” is defined in the introductory paragraph of Part II; “Organization Party” means Organization, anyone directly or indirectly employed by Organization, any of Organization’s personnel or agents, and anyone for whose acts Organization may be liable; and “Donated Items” is defined in the recitals of Part II.

SUPPLIER shall immediately notify MYONEX in writing if at any time SUPPLIER, or any of its affiliated companies, shareholders or directors (i) are placed on any Restricted Parties List referenced above or (ii) become or becomes owned 50% or more, individually or in the aggregate, by one or more Restricted Parties; and in such event MYONEX shall have the right to terminate this Agreement (including any Orders thereunder) immediately without any further obligation or liability to SUPPLIER.

Restricted Parties List means any of the lists issued or maintained by a Sanctions Authority designating or identifying persons that are subject to Sanctions, in each case as amended, supplemented or substituted from time to time, including (without limitation) the Consolidated List of Financial Sanctions Targets in the UK maintained by the Office of Financial Sanctions Implementation, the Consolidated United Nations Security Council Sanctions List, the U.S. List of Specially Designated Nationals and Blocked Persons, maintained by the U.S. Treasury Department Office of Foreign Assets Control, the Debarred List and non-proliferation sanctions lists maintained by the U.S. State Department, the EU Consolidated List of Designated Parties and the Sanctions Embargoes List of Switzerland.
