Restrictive Covenants Agreement means the Employee Non-Disclosure, Assignment, and Non-Solicitation Agreement or similar agreement entered into between the Covered Executive and the Company.

• If any provisions of this Agreement (including the Restrictive Covenants Agreement) (or portions thereof) shall, for any reason, be held invalid or unenforceable, such provisions (or portions thereof) shall be ineffective only to the extent of such invalidity or unenforceability, and the remaining provisions of this Agreement or Restrictive Covenants Agreement (or portions thereof) shall nevertheless be valid, enforceable and of full force and effect.

• In the event of any breach by Executive of the Restrictive Covenants Agreement, the Company shall have the right to cease making any severance payments being made or provided to Executive pursuant to Sections ‎10(a) through ‎10(d) hereof.

• This Agreement contains the entire agreement between the parties with respect to the subject matter hereof (including the Restrictive Covenants Agreement referenced in Section ‎13 hereof) and supersedes all other agreements, term sheets, offer letters, and drafts thereof, oral or written, between the parties hereto with respect to the subject matter hereof.

• In addition, severance shall be conditioned on Executive’s compliance with Section ‎13 hereof, and on Executive’s continued compliance with the Restrictive Covenants Agreement (as defined in Section ‎13 hereof).
