Retail Energy Business definition

Retail Energy Business means the business of providing Accepted Retail Products in retail electricity markets in the United States and any businesses incidental or related thereto and performing under the Transaction Documents and any activities incidental or related thereto.
Retail Energy Business has the meaning set forth in the recitals.

  • Within two (2) Business Days prior to the end of each calendar month, a projection of IDT’s cash flow for the immediately succeeding 7ninety (90)-day period, such projections to be developed by IDT in good faith and based on IDT’s best judgment as to the performance of the Approved Retail Energy Business during such period.

  • On the Effective Date, RERH Holdings and its Subsidiaries own or have access to (through arm’s length licenses and other arrangements including the IP License Agreement and the Reliant Parent Services Agreement if then in effect) the Marks necessary to run the Retail Energy Business using the “Reliant” name consistent with the arrangements in place for the Retail Energy Business as of the Effective Date (taking into account the Transition Agreement if then in effect).

  • The business unit comprises Residential Energy Services, which includes AGL Solar and Franchisee management (formerly part of Retail Energy), Business Energy Services, including Thermal, Solutions, Electrical and Technical (formerly part of Merchant Energy) and Distributed EnergyServices, including AGL’s portfolio of low emission and renewable generation assets (formerly part of Merchant Energy) and the newly established Digital Metering business ActiveStream.

  • Buyer may freely transfer the Agreement to any Person then conducting the Retail Energy Business.

  • No unfair labor practice complaint before the National Labor Relations Board or any similar or comparable state, local or foreign agency, no discharge or grievance before the Equal Employment Opportunity Commission and no complaint, charge or grievance of any nature before any similar or comparable state, local or foreign agency, in any case relating to the Retail Energy Business or the conduct of its business or the Acquired Assets is pending or, to Seller's knowledge, threatened.

  • The combination of Power Club’s experience from internal resources and the OSP will ensure that the company is set up to successfully support all functions of a Retail Energy Business and to be a highly capable service provider to customers throughout Australia.

  • Renewable energy resources means energy derived from solar, wind, geothermal, biomass, and hydroelectricity. A fuel cell using hydrogen derived from these eligible resources is also an eligible electric generation technology. Fossil and nuclear fuels and their derivatives are not eligible resources.

  • Energy means electricity, natural gas, steam, hot or chilled water, fuel oil, or other product for use in a building, or renewable on-site electricity generation, for purposes of providing heating, cooling, lighting, water heating, or for powering or fueling other end-uses in the building and related facilities, as reflected in Utility bills or other documentation of actual Energy use.

  • Alarm business means the business by any individual, partnership, corporation, or other entity of selling, leasing, maintaining, servicing, repairing, altering, replacing, moving or installing any alarm system or causing to be sold, leased, maintained, serviced, repaired, altered, replaced, moved or installed any alarm system in or on any building, structure or facility.

  • Electric utility steam generating unit means any steam electric generating unit that is constructed for the purpose of supplying more than one-third of its potential electric output capacity and more than 25 MW electrical output to any utility power distribution system for sale. Any steam supplied to a steam distribution system for the purpose of providing steam to a steam-electric generator that would produce electrical energy for sale is also considered in determining the electrical energy output capacity of the affected facility.
