Retention Payment Amount definition

Retention Payment Amount means an aggregate amount in cash equal to USD $3,000,000 plus the Retention RSUs equal to 1,805,700 shares of Buyer Series B Common Stock (such number subject to appropriate adjustment in the event of a stock split or reverse stock split in respect of the Buyer Series B Common Stock) payable or issuable to the Retention Payment Recipients in accordance with, and in the proportions set forth in, the Retention Plan.
Retention Payment Amount means $2,000,000.
Retention Payment Amount shall have the meaning ascribed to such term in Section 4.9 hereof.

Examples of Retention Payment Amount in a sentence

  • You shall vest in your Retention Payment Amount on the Effective Date.

  • Notwithstanding anything to the contrary in your Agreement or Addendum, you shall be obligated to repay your Retention Payment Amount if, prior to the Effective Date, you terminate your Agreement without Good Reason or your employment under your Agreement is terminated for Cause.

  • For the avoidance of doubt, it is understood that the foregoing sentence shall not prevent you from receiving the Retention Payment Amount referred to in Section 1 above, to the extent eligible.

  • In connection with the purchase of the Shares, Buyer shall deliver or cause to be delivered to Seller aggregate consideration consisting of: (i) the Enterprise Value, minus (ii) the Retention Payment Amount (the aggregate amount calculated in accordance with clauses (i) and (ii) of this sentence is referred to herein as the “Pre-Adjustment Purchase Price”), plus (iii) the NTBV Excess, if any, minus (iv) the NTBV Shortfall, if any, (the “Purchase Price”).

  • Contractor will have the right under this Section 16 at each time retention would be paid to Contractor under the Construction Contract Documents to have the Appropriate Retention Payment Amount (defined below) delivered to Contractor.

Retention Payment Amount means the amounts due to employees with respect to the retention agreements described in items (i) and (ii) of Schedule 5.19(e).
