Reuters page means the display on the Reuters 3000 Xtra Service, or any successor service, on the page or pages specified in this Statement of Terms or the Supplement, or any replacement page on that service. The London Interbank offered rate (“LIBOR”) means, with respect to any Interest Determination Date, the rate for deposits in U.S. dollars having the Index Maturity that appears on the Designated LIBOR Page as of 11:00 a.m., London time, on such Interest Determination Date. If no rate appears, LIBOR will be determined on the basis of the rates at approximately 11:00 a.m., London time, on such Interest Determination Date at which deposits in U.S. dollars are offered to prime banks in the London interbank market by four major banks in such market selected by the Calculation Agent for a term equal to the Index Maturity and in principal amount equal to an amount that in the Calculation Agent’s judgment is representative for a single transaction in U.S. dollars in such market at such time (a “Representative Amount”). The Calculation Agent will request the principal London office of each of such banks to provide a quotation of its rate. If at least two such quotations are provided, LIBOR will be the arithmetic mean of such quotations. If fewer than two quotations are provided, LIBOR for such interest period will be the arithmetic mean of the rates quoted at approximately 11:00 a.m., in New York City, on such Interest Determination Date by three major banks in New York City, selected by the Calculation Agent, for loans in U.S. dollars to leading European banks, for a term equal to the Index Maturity and in a Representative Amount; provided, however, that if fewer than three banks so selected by the Calculation Agent are providing such quotations, the then existing LIBOR rate will remain in effect for such Interest Payment Period.

• If that rate does not appear on that display page, LIBOR for that Interest Period will be the rate per annum shown on Reuters page LIBOR01 or any successor page as the composite offered rate for London interbank deposits for a period of the Designated Maturity, as shown under the heading “USD” as of 11:00 a.m., London time, on the LIBOR Determination Date.

• For other currencies the interest shall be estimated at an annual rate equal to three months' London Interbank Offered Rate (LIBOR) for the relevant currencies as quoted by Reuters page LIBOR 01 at 11:00 A.M. London time, as per the due date of payment, plus three percentage points.

• LIBOR means the rate for one month deposits in USD which appears on the relevant Reuters page (or any successor page) as of 11:00 London time on the date of determination or, in the event that such rate is unavailable, the mean average of the rates at which USD rates are quoted by the principal offices of three banks nominated by Seller in the London interbank market.

• For Euro the interest shall be estimated at an annual rate equal to three months' EUROLIBOR as quoted daily on Reuters page LIBOR 01 at 11:00 A.M. London time, as per the due date of payment, plus three percentage points.

• For NOK the interest shall be calculated at an annual rate equal to three months' Norwegian Interbank Offered Rate (NIBOR) as quoted daily by Reuters page NIBP at 12:00 noon, as per the due date of payment, plus three percentage points.

Reuters page has the meaning set forth in the definition of “Base LIBOR”.

Reuters page means the page designated on the Reuters Service (or such other service as may be nominated by the British Bankers’ Association as the information vendor for the purpose of displaying British Bankers’ Association Interest Settlement Rates) for the applicable currency.

Reuters page means the display on Reuters Money 3000 Service, or any successor service.
