The Company will provide the Registrars with all necessary authorisations and information to enable them to perform their duties as registrars in accordance with and as contemplated by this Agreement and the terms of the Rights Issue Documents.
The Rights Issue Units will be allotted and issued in accordance with the Rights Issue Documents free from all encumbrances, claims, liens or other third party rights of whatsoever nature.

The Company represents and agrees that, unless it obtains the prior consent of the Underwriters, it has not made and will not make any offer relating to the Offered Shares by means of any other instrument, document or other written communication (other than the Rights Issue Documents).
All statements of fact contained in the Rights Issue Documents are and will, when the Rights Issue Documents are despatched, be true and accurate and not misleading.
B The Company has determined by resolutions of its board of directors to offer to the Qualifying Shareholders the Rights Shares for subscription, in the proportion of 1 Rights Share to every 2 existing Shares held on the Record Date at the Subscription Price payable in full on acceptance and otherwise on the terms and subject to the conditions set out in this Agreement and the Rights Issue Documents.
If the Underwriters are so notified or become aware of any such filing, communication, occurrence or event, as the case may be, the Underwriters in consultation with the Company, may agree to allow the issuance of the Offered Shares pursuant to the Rights Issue to proceed on the basis of the Rights Issue Documents subject, if the Underwriters so request, to the publication of amended or supplementary Rights Issue Documents at the expense of the Company.
Upon the approval by the Independent Shareholders of the Rights Issue, the Underwriting Agreement, the Whitewash Waiver and the transactions contemplated thereunder at the EGM having obtained and the granting of the Whitewash Waiver by the Executive, the Rights Issue Documents will be despatched to the Qualifying Shareholders as soon as practicable.
