A sale (or multiple related sales) of one or more Subsidiaries of the Company (whether by way of amalgamation, merger, consolidation, reorganization or sale of all or substantially all assets or securities) which constitutes all or substantially all of the consolidated assets of the Company will be deemed a “Sale of the Company”. For the avoidance of doubt, an underwritten public offering of the Equity Securities or equity securities of any of the Company’s Subsidiaries shall in no event constitute a Sale of the Company for purposes of this Agreement. 8
