ROFO Area definition

ROFO Area means the area described on Exhibit H-2.
ROFO Area consists of the following municipalities and outlined in the attached map:

Examples of ROFO Area in a sentence

  • Tenant shall be deemed to have declined a lease for the offered portion of the ROFO Area if its acceptance is delayed or if the acceptance changes any term or condition of the Offer Notice.

  • Except as otherwise expressly provided herein, Landlord shall not lease, and/or grant any Fixed/ROFO Expansion Rights (as hereinafter defined) with respect to, any portion of the applicable ROFO Area to any other party where the anticipated commencement date would occur during the applicable ROFO Period, unless Landlord first offers such portion of the ROFO Area to Tenant pursuant to this Paragraph 34(N).

  • Those issuers don’t have the same impact on equity indices that they do on credit indices.

  • Each of the Persons comprising Gatherer under this Agreement shall be severally and not jointly liable for all obligations of Gatherer under and pursuant to this Agreement (a) with respect to each Person other than OpCo, as to their specific Individual System(s) and System Area(s) and (b) with respect to OpCo, as to the ROFO Area and any areas outside of the System Areas.

  • Within thirty (30) days following Landlord’s receipt of the Expansion Notice, Landlord shall provide Notice to Tenant (“Notice of Availability”) of the Additional Space in the ROFO Area that is available.

  • If such right is not so exercised, then at such time Tenant's First Offer Right for the offered portion of the ROFO Area, except for any ROFO Area located on the 4th floor, shall be null and void and of no further force or effect and Landlord shall have the right to lease the all or any portion of the offered portion of the ROFO Area to a third party on the same or any other terms and conditions, whether or not such terms and conditions are more or less favorable than those offered to Tenant.

  • In the event two leases are in effect for any portion of the the ROFO Area (for example, the term of a lease which is now in effect for a portion of the the ROFO Area will soon expire, and another lease covering part or all of such space has already been executed with a new tenant for a term commencing after the expiration of the term of the former lease), only one of such leases shall be an Existing Lease.

Related to ROFO Area

  • ILUA Area means the geographical area in relation to which the Framework ILUA applies, as specified in Schedule 2 of the Framework ILUA;

  • ROFR means a right of first refusal to purchase or a right of first offer to purchase one or more of the Mortgaged Properties pursuant to a recorded instrument (or a memorandum thereof) encumbering the applicable Mortgaged Property.

  • Available Space means the balance of the rentable square footage in the Building not already included as part of the Premises, which is not occupied by a tenant or which is occupied by an existing tenant whose lease is expiring within 6 months or less and such tenant does not wish to renew (whether or not such tenant has a right to renew) its occupancy of such space. If there is any Available Space in the Building, Landlord shall, at such time as Landlord shall elect so long as Tenant’s rights hereunder are preserved, deliver to Tenant written notice (the “Expansion Notice”) of such Available Space, together with the terms and conditions on which Landlord is prepared to lease Tenant such Available Space; provided that Base Rent shall be at the Market Rate (as defined in Section 40(a) below) for such Available Space. Tenant shall be entitled to exercise its right under this Section 39(a) only with respect to the entire Available Space described in such Expansion Notice (“Identified Available Space”). Tenant shall have 5 business days following delivery of the Expansion Notice to deliver to Landlord written notification of Tenant’s exercise of the Expansion Right with respect to the Identified Available Space (“Exercise Notice”). Tenant shall be entitled to lease such Identified Available Space upon the terms and conditions set forth in the Expansion Notice. If Landlord and Tenant are unable to agree on the Market Rate for the Available Space after negotiating in good faith within 5 days after Tenant’s delivery of an Exercise Notice, the applicable Market Rate will be determined through arbitration in accordance with Section 40(b). Tenant acknowledges and agrees that, if Tenant has delivered an Exercise Notice pursuant to this Section 39(a), Tenant shall have no right thereafter to rescind or elect not to lease the Available Space. Tenant acknowledges that the Term of the Lease with respect to the Identified Available Space may not be co-terminous with the Term of the Lease with respect to the original Premises. Notwithstanding anything to the contrary contained herein, Tenant shall have no right to exercise the Expansion Right and the provisions of this Section 39(a) shall no longer apply after the date that is 9 months prior to the expiration of the Base Term if Tenant has not exercised its Extension Right pursuant to Section 40. If Tenant fails to deliver an Exercise Notice to Landlord for the Identified Available Space within the required 5 business day period, Tenant shall be deemed to have forever waived its rights under this Section 39(a) to lease the Identified Available Space, and Landlord shall have the right to lease the Identified Available Space to any third party on any terms and conditions acceptable to Landlord.

  • Area A means the area marked “Area A” outlined in red on the Plan (excluding that part shaded grey on the Plan);

  • ROFO Notice is defined in Section 6.2(a).

  • ROFO Period is defined in Section 6.1(a).

  • Adjacent area means the area outside the affected area or permit area where air, surface or ground water, fish, wildlife, vegetation or other resources protected by Chapter 1513. of the Revised Code, determined according to the context in which "adjacent area" is used, are or reasonably could be expected to be adversely affected by proposed coal mining and reclamation operations including probable impacts from underground workings. With respect to underground mining operations, "adjacent area" shall include, at a minimum, the surface areas above full coal recovery areas.

  • Lot area means the total horizontal area within the lot lines of a lot.

  • car-share parking space means a parking space that is reserved and actively used for car-sharing;

  • Slum area means any area where dwellings predominate which, by reason of depreciation, overcrowding, faulty arrangement or design, lack of ventilation, light or sanitary facilities, or any combination of these factors, are detrimental to the public safety, health or morals.

  • Grave space means a space of ground in a cemetery that is used or intended to be used for an in-ground burial.

  • Lease Area means the Lease Area as more particularly described in SCHEDULE C.

  • Leased Area means the Crown land referred to in, subclause (1) of clause 9 hereof; [“mineral lease”] 4

  • Easement Area means the area of the servient lot marked on the survey-strata plan as being subject to the relevant easement; and

  • Built-Up Area and/or “Covered Area” in relation to a Flat shall mean the floor area of that Flat including the area of balconies and terraces, if any attached thereto, and also the thickness of the walls (external or internal) and the columns and pillars therein Provided That if any wall, column or pillar be common between two Flats, then one-half of the area under such wall column or pillar shall be included in the built-up area of each such Flat.

  • Unit Area means all of the lands, oil and gas leases and/or oil and gas interests of the tracts as shown in Exhibit B totaling 596.457 acres located in Mead and York Townships, in Belmont County, Ohio as shown in Exhibit C.

  • Space means the volume of gas which a user of a storage facility is entitled to use for the storage of gas;

  • Usable space means all the space on a pole, except the portion below ground level, the 20 feet of safety clearance space above ground level, and the safety clearance space between communications and power circuits. There is a rebuttable presumption that six feet of a pole are buried below ground level.

  • Parking Garage means a building or portion of a building, other than a private garage, that is used for the temporary parking of motor vehicles;

  • Basal area means the effective surface area available to transmit the treated effluent from the filter media in a mound system into the in-situ receiving soils. The perimeter is measured at the interface of the imported fill material and in-situ soil. On sloping sites, only the area down-gradient from the up-slope edge of the distribution media may be included in this calculation.

  • Project Area means land or lands located within the incentive

  • Area of use means a portion of an address of use that has been set aside for the purpose of receiving, preparing, using, or storing radioactive material.

  • Building Square Footage or "BSF" means the square footage of assessable internal living space of a Unit, exclusive of any carports, walkways, garages, overhangs, patios, enclosed patios, detached accessory structure, other structures not used as living space, or any other square footage excluded under Government Code Section 65995 as determined by reference to the Building Permit for such Unit.

  • the LA area means the area in respect of which is the local authority.

  • Work space means that portion of the court’s facilities dedicated to each court reporter, including but not limited to actual space in the courtroom and any designated office space.

  • Redevelopment Area means the community redevelopment area described, defined or otherwise identified or referred to in the Redevelopment Plan.
