ROFO Exercise Period definition

ROFO Exercise Period shall have the meaning set forth in Section 2(b)(iv)(C).

  • No later than five (5) Business Days following the expiration of the ROFO Exercise Period, the Partnership shall notify each ROFO Holder in writing of the Common Interests or Securities that the ROFO Holders have agreed to purchase (including where such number is zero).

  • The failure of the Founder to give a ROFO Exercise Notice within the ROFO Exercise Period shall be deemed to be a waiver of the Founder’s Preferred Right of First Offer.

  • During such ROFO Exercise Period Landlord shall permit Tenant to physically inspect the Expansion Space.

  • Subtenant may only exercise its right to sublease the Actual ROFO Space by written notice given to Sublandlord prior to the expiration of the ROFO Exercise Period, and a failure to give written notice of the exercise of such right prior to the expiration of the ROFO Exercise Period shall constitute an election not to exercise such right with respect to such Actual ROFO Space.

  • If Subtenant does not exercise (or is deemed to have elected not to exercise) its option to sublease the Actual ROFO Space prior to the expiration of the ROFO Exercise Period, then Sublandlord may proceed to lease the Actual ROFO Space on the same terms set forth in the ROFO Notice.

  • Purchaser shall have a 45-day period from the delivery of the ROFO Notice (the "ROFO Exercise Period") within which to accept or reject the ROFO Terms by written notice to Seller.

  • Tenant may lease the Expansion Space in its entirety only, under such terms, by delivering written notice of exercise to Landlord (“Notice of Exercise”) within ninety (90) days after the receipt of the Advice (“ROFO Exercise Period”), unless the Advice states that the Offering Space became available because of a early termination of the lease for such Offering Space in which case the ROFO Exercise Period shall be forty five (45) days.

  • The rights of Tenant hereunder with respect to any applicable Advice shall terminate on the earlier to occur of: (i) Tenant’s failure to exercise its Right of First Offer within the ROFO Exercise Period and (ii) the date Landlord would have provided Tenant an Advice if one or more of the conditions set forth above is satisfied, notice of which shall be concurrently delivered to Tenant.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Date of Exercise means the date on which the Company shall have received (i) this Warrant (or any New Warrant, as applicable), with the Form of Election to Purchase attached hereto (or attached to such New Warrant) appropriately completed and duly signed, and (ii) payment of the Exercise Price for the number of Warrant Shares so indicated by the holder hereof to be purchased.
