Royalty Costs definition
Royalty Costs means have the meaning set forth in the Financial Appendix.
Royalty Costs means the amount of royalties paid to Third Parties for the making, using and selling of Microarrays hereunder as required by Third Party Licenses, which royalties are assessed based on the number of units of Microarrays sold and which do not include any upfront, lump sum or one time license fees paid which are independent of the number of units of Microarrays sold. The methods for calculating and allocating the above sales and expenses will be agreed in writing by the accounting departments of each Party for each quarterly period.
Royalty Costs means payments paid by Novartis and Cell Genesys to Third Parties in connection with rights to use such Third Party's intellectual property for the Option Product, including, but not limited to, royalty payments, milestone payments and any up-front payment due under Third Party licenses or settlements with Third Parties. "Sales Returns and Allowances" shall mean the sum of (a) and (b), where: (a) is a provision for (i) cash and quantity discounts or rebates on an Option Product (other than price discounts granted at the time of invoicing and which are included in the determination of Gross Sales), (ii) credits or allowances given or made for rejection or return of previously sold Option Product or for retroactive price reductions (including Medicare and similar types of rebates and chargebacks), (iii) sales taxes, duties or other governmental charges levied on or measured by the billing amount for an Option Product, as adjusted for rebates and refunds, (iv) charges for freight and insurance directly related to the distribution of Option Product, to the extent included in the invoice to the customer, and (v) credits for allowances given or made for wastage replacement, indigent patient and any other sales programs agreed to by Cell Genesys and Novartis for Option Product; and (b) is a periodic adjustment of the provision determined in (a) to reflect amounts actually incurred by Cell Genesys or Novartis for items (i), (ii), (iii), (iv) and (v) in clause (a). The provision allowed in clause (a) and adjustments made in clauses (b) will be reviewed and approved by the Finance Sub-Committee. "Cost of Sales" or "Sales Costs" shall mean sales costs approved by the parties and incurred by the parties for their account and specifically identifiable to the sales efforts of Option Products to all markets in the Option Territory. The Monthly Charge for Capacity and Energy for each Month shall consist of a share of Square Butte's Monthly Fuel Royalty Costs, which share shall be determined by applying the percentage of Energy delivered to Minnesota Power from Unit #2 during such Month under Section 3.2 to Square Butte's Monthly Fuel Royalty Costs for such Month.
