RSA Order definition

RSA Order means an order of the Bankruptcy Court authorizing and directing the Debtors to assume the RSA.
RSA Order means an order of the Bankruptcy Court approving the RSA Assumption Motion, which order shall be consistent in all material respects with this Agreement and otherwise in form and substance reasonably acceptable to the Requisite Parties.

  • Until the entry of the RSA Order, nothing in this Agreement shall require the Committee or the Committee Members (in such member’s capacity as a Committee member) to take any action, or to refrain from taking any action, to the extent that taking such action or refraining from taking such action would be inconsistent with, or cause such party to breach, such party’s fiduciary obligations under the Bankruptcy Code and applicable law.
