Runoff Endorsements definition

Runoff Endorsements means the runoff endorsements to the existing insurance policies extending coverage for current and former directors, officers, employees, attorneys, other professionals and agents of each of the Debtors for a period of 6 years after the Effective Date for covered liabilities arising from activities occurring prior to the Effective Date, which runoff endorsements shall be on terms, including cost, acceptable to the Debtors and the Requisite Lenders (in their sole discretion) (provided that the proposed terms of the runoff endorsements from AEGIS provided to the Debtors through Aon Risk Services Southwest, Inc. by email dated as of September 16, 2020 and shared by counsel to the Debtors with counsel to the DIP Secured Parties and the First Lien Secured Parties on September 16, 2020 at approximately 10:25 p.m. prevailing Eastern time shall be deemed to be acceptable to the Debtors and the Requisite Lenders).
