Sale and Allocation Agreement means the Sale and Allocation Agreement dated as of January 26, 2006, among the Servicer, the Indenture Trustee, the Depositor, the Securities Intermediary, and the Issuer as the same may be amended or supplemented from time to time in accordance with the terms thereof.
