A lottery will be held for Community Housing Sale Units offered for sale through the Town’s Administrative Agent.
Each Member will provide written notice of its decision regarding the exercise of its right of first refusal to purchase its pro rata portion of the Sale Units within 60 days of its receipt of the Disposition Notice (the “ROFR Acceptance Deadline”).
Failure to provide such notice within such 30-day period shall be deemed to constitute a decision not to purchase the Sale Units.
If any Member fails to exercise its right of first refusal during any applicable period set forth in this Section 2.11(b), it shall be deemed to have waived its rights with respect to such proposed disposition of the Sale Units, but not with respect to any future offer of Units.
No person, firm, corporation or other entity has any right or option to purchase or otherwise acquire all or any part of the Sale Units, other than the rights of the Purchaser hereunder, and, the sale of the Sale Units to the Purchaser pursuant to this Agreement does not violate any preemptive or other right of any other person, firm, corporation or other entity.
