Sanctions Targets definition

Sanctions Targets means any legal or natural person which is directly or indirectly the subject of any Sanctions (whether by virtue of being named on any list of persons or entities subject to Sanctions, by being ultimately beneficially owned or controlled by or acting on behalf or at the direction of such a person or by being a national of, or ordinarily resident or located in, a Sanctioned Country).
Sanctions Targets means individuals, entities and governments named in Sanctions. Security has the meaning set out in the Financial Services and Markets Act 2000 (Regulated Activities Order) 2001.
Sanctions Targets means: (a) any country or geographic region subject to comprehensive country- wide or territory-wide Economic Sanctions/Trade Laws; (b) a Person that is on the Consolidated Canadian Autonomous Sanctions List or any equivalent list of sanctioned Persons issued by Global Affairs Canada, or any equivalent list of sanctioned Persons issued by, the U.S. Department of State, United Nations, or Canada; (c) a Person that is located in or organized under the laws of a country or geographic region that is identified as the subject of country-wide or territory-wide Economic Sanctions/Trade Laws which prohibit a Person resident in, or a national of, Canada from doing business with or in that country or geographic jurisdiction; or (d) an entity directly or indirectly owned or controlled by, or acting for the benefit or on behalf of, a person described in clauses (b) or (c) above;

  • Accordingly, nothing in this Agreement, including Appendix 3 shall be construed as a grant of rights or Know-How under this Agreement with respect to Sanctions Targets.

  • Notwithstanding anything to the contrary in this Agreement, including Appendix 3, the Parties acknowledge that the grant of any rights or Know-How under this Agreement through Pfizer in the Pfizer-MPP Agreement relating to the Compound, Product or Licensed Product for, in, or to the Sanctions Targets require prior authorization, in the form of general licenses, specific licenses, and/or other authorizations, from OFAC and/or BIS.

  • Notwithstanding anything to the contrary in this Agreement, including Appendix 1: Territory, the Parties acknowledge that the grant of any rights under this Agreement through MSD in the MSD-MPP Agreement relating to the Substance or Product for, in, or to the Sanctions Targets require prior authorization from OFAC.

  • Accordingly, nothing in this Agreement, including Appendix 1: Territory shall be construed as a grant of rights under this Agreement with respect to Sanctions Targets, except as noted below.

  • MPP shall require that MSD use commercially reasonable efforts to submit to OFAC a request for authorization for MSD to grant the rights contemplated under this under the MSD-MPP Agreement (and consequently under this Agreement) as they relate to the relevant Sanctions Targets.

  • You shall not provide access to the CloudLinux Products to any individuals identified on OFAC’s list of Specially Designated Nationals (“SDN List”), the UK’s HM Treasury’s Consolidated List of Sanctions Targets, or the EU’s Consolidated List of Persons, Groups, and Entities Subject to EU Financial Sanctions (collectively “Sanctioned Parties”).

  • We are also required to cross check you against The Office of Financial Sanctions Implementation (OFSI) HM Treasury consolidated list of Financial Sanctions Targets in the UK as part of the information gathering process.

  • Merchant must comply with all applicable laws and regulations including, but not limited to, relating to export control laws and economic sanctions, including the International Emergency Powers Act, the Office of Foreign Assets Control Act (OFAC), and the Arms Export Control Act, US ITAR and European Union list of persons, groups and entities subject to EU financial sanctions, including the UK HM Treasury Consolidated List of Financial Sanctions Targets.

  • The Company hereby warrants that neither the Company nor any other 'party concerned' (as defined hereunder) is subject to individual or country sanctions imposed by the United Nations, United States, European Union, or United Kingdom ("Sanctions") by virtue of (i) being on a published sanctions list or (ii) located in a sanctioned country (any person or entity described in (i) or (ii) being a "Sanctions Target"), or (iii) owned (50% or more) or controlled by one or more Sanctions Target(s).

  • Merchant must comply with all applicable laws and regulations including, but not limited to, relating to export control laws and economic sanctions, including the International Emergency Powers Act, the Office of Foreign Assets Control Act (OFAC), and the Arms Export Control Act, US ITAR, Canadian and European Union lists of persons, groups and entities subject to financial sanctions, including the UK HM Treasury Consolidated List of Financial Sanctions Targets.

Related to Sanctions Targets

  • Sanctions Target means a person or entity that is either listed on, or owned or controlled by (whether directly or indirectly) or acting on behalf of a person listed on, a Sanctions List;

  • Sanctions Programs means any OFAC economic sanction program (including, without limitation, programs related to Crimea, Cuba, Iran, North Korea, Sudan and Syria).

  • OFAC Sanctions Program means any economic or trade sanction that OFAC is responsible for administering and enforcing. A list of OFAC Sanctions Programs may be found at ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇.▇▇▇/resource-center/sanctions/Programs/Pages/Programs.aspx.

  • OFAC Sanctions Programs means all laws, regulations, and Executive Orders administered by OFAC, including without limitation, the Bank Secrecy Act, anti-money laundering laws (including, without limitation, the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, Pub. L. 107-56 (a/k/a the USA Patriot Act)), and all economic and trade sanction programs administered by OFAC, any and all similar United States federal laws, regulations or Executive Orders, and any similar laws, regulators or orders adopted by any State within the United States.

  • Sanctions means economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by (a) the U.S. government, including those administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury or the U.S. Department of State, or (b) the United Nations Security Council, the European Union, any European Union member state or Her Majesty’s Treasury of the United Kingdom.
