Sandstorm Intercreditor Agreement definition
Sandstorm Intercreditor Agreement means an agreement that may be entered into by the Royalty Holder, the Owner and Sandstorm, on terms and conditions satisfactory to the Royalty Holder, acting reasonably, containing, among other things, the Sandstorm Intercreditor Principles and whereby the Royalty Holder and Sandstorm agree that any security respectively held by them in support of the Base Metal Royalty and the Precious Metal Royalty or the Sandstorm Royalties, as applicable, shall rank pari passu;
Sandstorm Intercreditor Agreement means the intercreditor agreement to be entered into by The Bank of Nova Scotia, as administrative agent for and on behalf of The Bank of Nova Scotia, Bank of Montreal, ING Capital LLC and Société Générale, and any other “Finance Party” party to the Scotia Facility from time to time (as defined therein), MDCI, Sandstorm Gold Ltd., the Corporation, ▇▇▇▇ Gold Corp., Aurizona Goldfields Corporation, ▇▇▇▇ Gold Pesquisas Minerais LTDA and Mineração Aurizona S.A., as agreed to by the Corporation, MDCI (acting reasonably), Sandstorm Gold Ltd. and The Bank of Nova Scotia;
Sandstorm Intercreditor Agreement means the amended and restated intercreditor agreement dated March 10, 2020 among The Bank of Nova Scotia, as first lien agent, MDCI, as second lien agent, Sandstorm Gold Ltd., as third lien creditor, the Corporation and the “Guarantor Subsidiaries” of the Corporation named therein;
