SBC Financial Statements definition

SBC Financial Statements shall have the meaning set forth in Section 3.1(f).
SBC Financial Statements means (i) the consolidated balance sheets (including related notes and schedules, if any) of SBC as of December 31, 2004 and 2003, and the related statements of income, changes in shareholders’ equity, and cash flows (including related notes and schedules, if any), as filed by SBC in SEC Documents, and (ii) the unaudited consolidated balance sheets (including related notes and schedules, if any) of SBC as of September 30, 2005, and the related statements of income, changes in shareholders’ equity, and cash flows (including related notes and schedules, if any), as delivered by SBC to Concord prior to execution of this Agreement.

Examples of SBC Financial Statements in a sentence

  • The SBC Financial Statements fairly present in all material respects and consistent with GAAP, the financial position of SBC Wireless; SBC Pacific; SBC Midwest; SBC Midwest Wireless; SBC CT1 and SBC CT2; and SBC Mobile (the "SBC Domestic Wireless Group") as of the date indicated and the results of operations of the SBC Domestic Wireless Group for the period then ended (subject to the absence of notes).
