Scheduled Investments means each Chargor's investments the details of which are specified in Schedule 3 (The Scheduled Investments) or, in the case of an Additional Chargor, in Part B (Investments) of the schedule to its Accession Deed.

Scheduled Investments has the meaning specified in clause (5) of the definition of “Permitted Investments”.

• Each Company and each Company Subsidiary has good and marketable title to each of the Scheduled Investments.

• The aggregate Scheduled Additional Shares relating to all of the Scheduled Investments that have not been acquired by Gadsden as of the Closing Date will be issued by Parent on the Closing Date and held in escrow with an escrow agent mutually agreeable to Parent and Gadsden and under an agreement (the “Share Escrow Agreement”).

• There are no Liens on any of the Scheduled Investments, except as set forth on Schedule 3.15(a)(1).

• As of such date, Republic and its Subsidiaries shall have good and marketable title to each of the Subsequent Scheduled Investments.
