Second Board Meeting means the duly convened meeting of the Board of Directors, which is anticipated to be held on September 26, 2003 and in any case no later than two weeks prior to the Extraordinary General Shareholders' Meeting for the purpose of (i) approving the Investors' Nominees and (ii) approving the Amended and Restated Articles of Incorporation to be submitted to the shareholders of the Company for approval at the Extraordinary General Shareholders' Meeting.
